Belltree Corporate Corporate Advisor Nicolle Fleming and Alicanto Minerals Ltd (ASX: AQI) Exploration Manager Sarah Fenwick are taking part in Coastrek this weekend, a 35km charity walk along the Cape to Cape from Yallingup to Dunsborough with all money raised going to the Heart Foundation. Unfortunately, many people are affected by heart health; whether that’s through losing someone we love to heart disease, having someone in our family unwell, or having health scares ourselves. So, this October, along with thousands of other Coastrekkers, Nicolle and Sarah will be walking a really, really long way to fundraise for heart health, whilst improving their own health, fitness and wellbeing. There will be sore legs, sweaty hair, thigh chafing, lots of laughs, camaraderie, and an immense feeling of accomplishment when they cross the finish line after months of training and preparation. Congratulations to Belltree Corporate’s client Cygnus Metals on its announcement today of a merger of equals with Doré Copper Mining Corp. The two companies have signed a definitive arrangement agreement to merge by way of a Canadian statutory plan of arrangement. The merger will see Cygnus acquire 100% of the issued capital of Doré, combining Doré’s high-grade copper-gold Chibougamau project in Quebec with Cygnus’ proven exploration experience and access to capital markets. Cygnus also announced that it intends to raise up to A$11m (before costs) at 7.2c per share via a two tranche placement to fund resource growth and advance the pathway to production at Chibougamau, whilst also advancing Cygnus’ lithium exploration pipeline in James Bay, Quebec. 📋 Non Re-compliance Acquisitions for Resource Entities 📋 Recently we had Partner Jeremy Newman from Hamilton Locke come into the offices at Richardson St to give a presentation on the types of acquisitions ASX considers would or would not require an entity to recomply with the Listing Rules. The extremely practical and interactive session covered Listing Rules 11.1.2 and 11.1.3, submissions to ASX, the transaction-based comparison table used by ASX, timetable and structuring considerations, JORC reporting, Notices of Meeting, when to call a trading halt, etc. With quite a few of Belltree Corporate’s clients looking at new project opportunities, this was a relevant and informative session for everyone. It’s been a busy September! In addition to half year and full year reports… Congratulations to Andean Silver on its updated Resource and placement, and FireFly Metals on its successful capital raising! Andean’s Indicated and Inferred Resource at the Cerro Bayo Silve Project in Chile has increased more than 80% since March, with another resource update due Q1 2025. It raised A$25m to fund inter alia, resource conversion and exploration. FireFly has received binding commitments for a A$65m placement and has also announced a A$5m SPP. Proceeds will underpin the next phase of resource growth, discovery and pre-development works at the Green Bay Copper-Gold Project in Newfoundland, Canada. FireFly’s next resource update is due Oct 2024. 🌟 Reminder 🌟 With AGMs coming up in November, ASX-listed companies are reminded of Listing Rule 3.13.1 which requires entities to tell ASX: 1. The proposed date of the AGM; and 2. The closing date for receipt of nominations from persons wishing to be considered for election as a director. This notice must come at least 5 business days before the closing date mentioned above - which for many entities will be about now! Listing Rule 14.3 requires companies to accept director nominations up to 35 business days before the date of the meeting, but the company’s own constitution may state a different period. Many thanks to Canaccord Genuity - Global Capital Markets for the ticket to the WIMWA (Women in Mining and Resources WA ) Summit on Friday. And what a fantastic day it was! Annabel Crabb’s well-argued and entertaining critique of the meritocracy myth was a real highlight. To butcher just one of her zingers with far less eloquent words: to those who worry that women are only appointed to fill a gender quota and must live with the constant doubt of their own merit… perhaps there are men who should be wondering whether they were only appointed due to their “dangly bits”, and whether there was actually someone else more “mertitorious” who was overlooked due to their gender? Because if the “we hire on merit” argument worked, there should be more diversity and equality in leadership roles already. Other highlights included Catherine Fox AM’s “breaking the boss bias” (must buy her latest book), Ben Crowe’s leadership masterclass (I actually took notes) and all the panelists. And of course, all the networking done in between sessions!
