The emergence and growth of 𝗖𝗼𝗿𝗽𝗼𝗿𝗮𝘁𝗲 𝗣𝗼𝘄𝗲𝗿 𝗣𝘂𝗿𝗰𝗵𝗮𝘀𝗲 𝗔𝗴𝗿𝗲𝗲𝗺𝗲𝗻𝘁𝘀 (𝗣𝗣𝗔𝘀) has been one of the major changes to the market for large-scale renewable energy. Entering into a PPA enables the Purchaser significant benefits of securing stable energy prices, access to large-scale generation certificates (LGCs) and, meet sustainability and carbon reduction targets. But Corporate PPAs are not always easy to establish and are exposed to several key market risk beyond the control of the Purchaser, the same risks that currently troubling renewable energy developers. Here are our key risks and mitigation strategies you should consider before entering into a PPA – 👉 𝗣𝗿𝗶𝗰𝗲 𝗥𝗶𝘀𝗸: Fluctuations in electricity prices can impact the financial viability of the PPA. Include fixed or indexed pricing mechanisms in agreement. 👉 𝗖𝗵𝗮𝗻𝗴𝗲 𝗶𝗻 𝗟𝗮𝘄, 𝗥𝗲𝗴𝘂𝗹𝗮𝘁𝗼𝗿𝘆 𝗮𝗻𝗱 𝗣𝗼𝗹𝗶𝗰𝘆 𝗥𝗶𝘀𝗸𝘀: Changes in government policies, regulations, or incentives can affect the economics of the PPA. Consider including clauses that allow for adjustments in the agreement in response to regulatory changes. 👉 𝗖𝗼𝘂𝗻𝘁𝗲𝗿𝗽𝗮𝗿𝘁𝘆 𝗥𝗶𝘀𝗸: The financial stability or reliability of either the buyer or the seller can be a concern. 𝗧𝗼 𝗣𝗣𝗣, 𝗼𝗿 𝗻𝗼𝘁 𝘁𝗼 𝗣𝗣𝗣, 𝘁𝗵𝗮𝘁 𝗶𝘀 𝘁𝗵𝗲 𝗾𝘂𝗲𝘀𝘁𝗶𝗼𝗻. Recent government project cancellations are impacting the Australia's ability to maintain and drive effective productivity for our growing population. There must be a better solution? Consequently, Public Private Partnerships (PPPs) emerge as a potential solution to address the demands of Australia's growing population and build Australia's future infrastructure. PPPs are long-term contracts between the public and private sectors for the financing, delivery, and operation of public infrastructure. Throughout Australia, PPPs have played a pivotal role in constructing toll roads, railway lines, airports, hospitals, gaols, and various other social infrastructure projects. The current net benefits of PPPs underscore their capacity to deliver improved procurement outcomes and superior value for money performance. However, the adoption of PPP-funded projects faces hurdles, including: 👉 A 𝗵𝗶𝗴𝗵 𝗯𝗮𝗿𝗿𝗶𝗲𝗿 𝘁𝗼 𝗲𝗻𝘁𝗿𝘆 with substantial design development, legal, and tendering costs. 👉 𝗟𝗶𝗺𝗶𝘁𝗲𝗱 𝗽𝗶𝗽𝗲𝗹𝗶𝗻𝗲 of PPP projects and lack of commitment from government. 👉 𝗣𝗣𝗣 '𝗽𝗿𝗲𝗺𝗶𝘂𝗺' on private capital/debt compared to project financing with public debt. 👉 𝗖𝗮𝗽𝗶𝘁𝗮𝗹 𝗺𝗮𝗿𝗸𝗲𝘁 𝗿𝗶𝘀𝗸𝘀, particularly concerning lending ceilings for economic and social infrastructure projects. Market has a higher aversion to patronage risk, with lenders preferring social infrastructure projects with a revenue stream based on the state payment of an availability charge. 👉 Project 𝗿𝗲𝗳𝗶𝗻𝗮𝗻𝗰𝗶𝗻𝗴 𝗿𝗶𝘀𝗸𝘀 for part or all project debt on similar or improved terms. 𝗗𝗲𝘀𝗶𝗴𝗻 𝗮𝗻𝗱 𝗖𝗼𝗻𝘀𝘁𝗿𝘂𝗰𝘁 (𝗗&𝗖) 𝗖𝗼𝗻𝘁𝗿𝗮𝗰𝘁𝘀 𝗮𝗿𝗲 𝗿𝗮𝗽𝗶𝗱𝗹𝘆 𝗱𝗼𝗺𝗶𝗻𝗮𝘁𝗶𝗻𝗴 Australian projects as the 'one-stop shop' form of construction engagement. D&C contracts are a popular choice where the Principal wants a single point of responsibility for both design and construction of the project. D&C contracts contain a greater risk profile overall with design obligations, fitness for purpose, and professional indemnity insurance obligations (and more!). Here are 𝗼𝘂𝗿 𝘁𝗼𝗽 𝘁𝗵𝗿𝗲𝗲 (𝟯) 𝗸𝗲𝘆 𝗰𝗼𝗻𝘀𝗶𝗱𝗲𝗿𝗮𝘁𝗶𝗼𝗻𝘀 when approaching D&C projects - • 𝗠𝗮𝗻𝗮𝗴𝗲𝗺𝗲𝗻𝘁 𝗼𝗳 𝗱𝗲𝘀𝗶𝗴𝗻 𝗿𝗶𝘀𝗸 𝗱𝘂𝗿𝗶𝗻𝗴 𝘁𝗵𝗲 𝘁𝗲𝗻𝗱𝗲𝗿𝗶𝗻𝗴 𝗽𝗲𝗿𝗶𝗼𝗱: From experience the preliminary design is not complete and almost inevitable there will be items/details shown in the drawings. And it some cases riddled with errors and defects such that a total redesign is required to comply with contract requirements. We find that the less work that is done during tender stage the high the risk the tender price is inadequate to cover the final project forecast cost. However, too much of a contingency allocation will result in the tender being unsuccessful. A fine balance must be achieved to ensured project profitability and satisfaction of project requirements. • 𝗗𝗲𝘀𝗶𝗴𝗻𝗲𝗿-𝗖𝗼𝗻𝘀𝘁𝗿𝘂𝗰𝘁𝗼𝗿 𝗰𝗼𝗻𝘁𝗿𝗮𝗰𝘁𝘂𝗮𝗹 𝗮𝗹𝗶𝗴𝗻𝗺𝗲𝗻𝘁: We find Contractors relying on preliminary/optioneering advice during the tender period are at significant risk without an agreement. With paid tendering fees the design consultant should be contractually responsible for any preliminary design or advice provided during the tendering period. Both Designer and Contractor should agree and enter into a Consulting Services Agreement that includes relevant pass-through obligations including – ➤ Fitness for purposes warranty ➤ Compliance with head contract design, timing of documentation, engineering, intellectual property rights ➤ Obligations to comply with legislative, project and performance requirements, and ➤ Professional indemnity insurance requirements. • 𝗖𝗹𝗲𝗮𝗿 𝘂𝗻𝗱𝗲𝗿𝘀𝘁𝗮𝗻𝗱𝗶𝗻𝗴 𝗮𝗻𝗱 𝗮𝗹𝗹𝗼𝗰𝗮𝘁𝗶𝗼𝗻 𝗼𝗳 𝗿𝗲𝘀𝗽𝗼𝗻𝘀𝗶𝗯𝗶𝗹𝗶𝘁𝘆 𝗼𝗳 𝗣𝗿𝗶𝗻𝗰𝗶𝗽𝗮𝗹’𝘀 𝗿𝗲𝗾𝘂𝗶𝗿𝗲𝗺𝗲𝗻𝘁𝘀: The Principal’s requirements are expressly linked to the Contractors design obligations, and effectively forms the scope and preliminary design. Dreyfus Advisory is supporting Asia Pacific Waste Solutions (APWS) in their plans to develop the Narwonah Energy and Circular Chemicals Project (NECCP) located in Narromine, NSW. The purpose of the project is to recover energy from residual waste materials and produce fuels and chemicals which can be utilised in various industries as a replacement for virgin fossil fuel materials. The integrated energy and circular chemicals project also addresses the NSW’s landfill service ability within Greater Sydney which will reach capacity in the next 15 years, and provide a solution to process residual plastics which will help decarbonise NSW’s economy. The project will be initially delivered over two stages – · Stage 1a: $100M AUD, Development of an anaerobic digestion (AD) plant with pretreatment of source separated organics (SSO) waste to produce Renewable Natural Gas (RNG). Construction will commence in 2024 and be completed by mid-2025. · Stage 1b: $300M AUD, Development of a thermochemical plant (gasification) to process plastic rich refuse derived fuel (RDF) into circular chemicals (plastic monomers) used off-site for plastic packaging production. Construction will begin late 2025 and be completed by mid-2027.
