Transeo is an international non-profit association bringing together experts in transfers and acquisitions of small and medium-sized businesses from Europe & beyond. Transeo focuses on transfers and acquisitions of small and medium-sized businesses… •whatever the kind of transfer of ownership: family succession, management buy-out, management buy-in, employee buy-out, strategic acquisitions, … •and targeting transactions in the so-called “small market”, namely SMEs with a company value ranging from €500,000 up to €25 million For whom? Transeo connects 3 types of experts: •Private sector experts (professionals such as law firms, intermediaries, brokers, auditors, accountants, chartered accountants, tax consultants, corporate finance advisers, M&A consultants, … and also banks & private equity firms, and business transfer marketplaces); •Public and semi-public sector experts (government enterprise agencies, development banks, chambers of commerce, …); •Academic sector experts (universities, business schools, …). Statistics Canada | Statistique Canada, en collaboration avec Innovation, Sciences et Développement économique Canada a diffusé la semaine dernière les tableaux de l'Enquête sur le financement et la croissance des PME de 2023. On constate que le taux des intentions de transfert des PME de 1 à 499 employés atteint 11,9 % au Québec, ce qui représente près de 22 000 #PME qui déclarent avoir l'intention de vendre ou de transférer l'entreprise au cours d'une période des 60 prochains mois. Un fait intéressant à noter de cette enquête est que 30,1 % des PME déclaraient avoir l'intention de procéder à un transfert familial, ce qui représente plus de 6 500 transferts intergénérationnels de PME au Québec. Cela représente une progression de 5 % des intentions de transferts d'entreprise à la famille par rapport à 2020. Une augmentation qui coïncide avec les réformes annoncées en 2023 par le fédéral et Québec concernant l'assouplissement des règles dans le cas d'un véritable transfert intergénérationnel d’entreprise. Ceci dit, le transfert externe demeure le mode privilégié par la vaste majorité des propriétaires primaires d'entreprises au Québec avec 54 %. Comme ces derniers seraient également touchés par l'augmentation du taux d'inclusion des gains en capital, une mesure impopulaire introduite en 2024 et récemment reportée en janvier 2026 par le nouveau ministre des Finances à Ottawa, il est possible que l'annonce de l'augmentation du taux d'inclusion ait contribué à réduire ou à reporter les intentions de transferts d'entreprise qu'on constate en 2024. Il faudra attendre encore quelques années pour démêler l'impact des aboutissements d'un long processus de réformes de touchant la taxation des gains en capital sur les activités de transferts d'entreprise.

Yesterday, Transeo had the honor of participating in the “Reprise & Transmission” jury at HEC Liège Entrepreneurs, alongside WE Cession & Acquisition and Belfius Banque. 🎯 What was the challenge?
