Conyers acted as Cayman Islands legal counsel to Nasdaq-listed Collegium Pharmaceutical, Inc. on its merger with Ironshore Therapeutics Inc., a privately-held pharmaceutical company that markets and distributes medicine for the treatment of attention deficit hyperactivity disorder. For Bermuda-based entities which have a financial year end of 31 December 2024, the final quarter of the fiscal year is a good time to consider their position with respect to Economic Substance. The Economic Substance Regime requires entities which have carried on a ‘Relevant Activity’ such as pure equity holding entity, insurance or fund management to demonstrate a substantial economic presence in Bermuda. Entities should review and determine whether they have carried out a Relevant Activity thus far, whether they will be in compliance with the Economic Substance Regime for the year end, and if not, consider steps that they can take to get into compliance.
