AXIA Ventures Group acted as Exclusive Financial Advisor to Thrivest Holding Ltd in relation to the strategic binding agreement for its holdings in Attica Bank S.A. & Pancreta Bank S.A. and their upcoming merger.   Thrivest and the Hellenic Financial Stability Fund (“HFSF”) reached a binding agreement in relation to the merger through absorption of Pancreta Bank by Attica Bank and their subsequent investment into the newly formed bank. Thrivest will invest up to €200m in a €675m Share Capital Increase for the new credit institution, securing a stake between 50% plus 1 share and 58.5%, with the option to increase its shareholding stake by contributing capital beyond the €200m commitment. The agreed upon merger and investment will enable the implementation of the newly formed bank’s business plan and will cover additional capital needs which will arise from the inclusion of the two banks non-performing portfolios into the Hercules III State Guarantee Programme.   AXIA is proud to be a part of this first step towards a landmark transaction, marking a crucial advancement for the creation of Greece’s fifth largest bank, a milestone for the Greek banking sector. AXIA Ventures Group acted as Exclusive Financial Advisor to Hellinikon S.M.S.A. in relation to the sale of 5 residential land plots in the Ellinikon Project.   LAMDA Development S.A. announced that its subsidiary Hellinikon S.M.S.A. signed definitive contracts for the sale of 5 distinct urban blocks designated for residential development with a combined maximum allowed gross floor area (GFA) of approximately 51,000 sqm. The total consideration for the sale of the land plots amounts to approximately €106 million, corresponding to €2,100 per sqm of GFA, nearly four times the assets’ book value of €531 per sqm of GFA. AXIA Ventures Group acted as Financial Advisor to Aragorn Value Leadership, in relation to the capital raising efforts for the development of a biomethane platform in Italy.   Aragorn Value Leadership is a prominent developer of biomethane plants with an extensive track record in the renewable energy sector in Italy. AXIA Ventures Group acted as Financial Advisor to Eurobank in relation to the completion of the acquisition of an additional 26.1% equity stake in Hellenic Bank and is acting as Financial Advisor in relation to the Mandatory Takeover Bid.   Eurobank announced yesterday that following the receipt of all the relevant regulatory approvals, it acquired 107,694,301 shares in Hellenic Bank for a total consideration of €275.7 million, i.e. a price of €2.56 per share, increasing its holding to 55.3%.   Following this transaction, Eurobank announced the submission of a Mandatory Takeover Bid for the acquisition of up to 100% of Hellenic Bank’s issued share capital, offering a price of €2.56 per share, paid in cash to all the shareholders who will accept the Takeover Bid.   AXIA acted as Financial Advisor to Eurobank in relation to this transaction and is acting as Financial Advisor to the Takeover Bid. This acquisition comes on the back of a series of negotiated transactions that AXIA has acted as Financial Advisor to Eurobank.   AXIA is proud to have seen this landmark cross-border transaction through to completion, providing guidance from the initial concept stage to the finalization. This transaction marks the first outbound investment by a Greek bank since the prolonged financial crisis, marking a new era in Greek banking.
