This week, our partners had the privilege of attending the #DealSourcing2024 in Oberursel. The event was an excellent opportunity to participate in workshops covering pivotal topics including (bank vs. private debt) financing for M&A transactions, the choice between mezzanine and minority shareholdings, and growing disclosure obligations. One of the key challenges discussed was the role of aval guarantees in private equity, a crucial but often overlooked aspect of deal structuring, especially in deals involving companies with a large share of project business. Last Monday, our partner Philipp Elsen was asked to present a comprehensive market update on the German M&A landscape at an event hosted by audit and tax advisory firm Holthoff-Pförtner Wassermann in Essen. The audience, composed primarily of decision-makers at German #Mittelstand companies, gained valuable insights into the current market dynamics and trends.   Among them we highlight: 1. Low market activity in 2023 and early 2024: The first half of 2024 continued the trend of subdued M&A activity seen throughout 2023. However, Philipp emphasized that a catch-up effect is expected in the second half of 2024 and into 2025.  2. Rising valuations: Valuations are on the rise again, driven in part by stabilizing interest rates. This trend is particularly notable in sectors such as tech, healthcare, pharma, F&B, and energy.  3. Flight to quality: Investors are increasingly seeking high-quality assets and are willing to pay a premium for them, reflecting a notable flight-to-quality in the market. 4.
