The mission of the Legal Corporate Affairs Department is to build the excellence of L'Oréal, the listed parent company of the L'Oréal Group, by anticipating and proactively applying regulations and best practices in corporate and securities law, governance, financial transparency, ESG and foundations. The Secretary of the Board (“Secrétariat du Conseil d’Administration”) is part of the team.

As part of this team, you will provide advise based on your expertise, support and prospective on matters related to securities law and governance. You will operate in a multidisciplinary environment where financial and non-financial topics go hand in hand. You will also be involved in matters of financial and non-financial communication or non-profit projects.

Here’s how you will have a role to play in this team:

Corporate & Securities Law

Working closely with internal stakeholders across various departments (Financial Communication, Corporate Responsibility, Corporate Finance, Treasury, Sustainable Finance, Ethics Risk & Compliance, Tax, Accounting and other Legal Teams) and external partners (national and European associations), you will play an active part in the following missions:

  • participation in the elaboration of the documentation for L’Oréal's equity transactions, including capital increases, share buybacks, employee share ownership and, long-term incentives plans etc.);
  • participation in the elaboration of the Universal Registration Document, including project management and drafting of sections related to Governance, Integrated Report, Risk Factors and internal control, Share capital, etc.;
  • contribution related to stock market ethics, including prevention processes and monitoring of regulations;
  • monitoring, assessment and implementation of financial and non-financial communication regulations;
  • legal reorganization operations (mergers, contributions, etc.) to which L’Oréal is involved, in close collaboration with the other members of the team and other departments.

Governance

  • preparation and support of the works of the Board of Directors and its four Committees (Strategy and Sustainability, Audit, Nominations and Governance, Remunerations and Human Resources), including the draft minutes and summaries;
  • legal aspects of the General Meeting of L’Oréal including draft resolutions, legal documentation and Q&A, etc;
  • advise on legal aspects of corporate governance and compensation policies for corporate officers, taking into account both hard and soft law, and benchmarks;
  • monitoring and analysis of voting policies and guidelines published by investors and proxy advisors;
  • benchmarking and analysis of peers’ practices related to governance.

Prospective

  • proactively identify and analyze (“seize the moment”) emerging trends, best practices and regulations in governance, corporate law and securities;
  • assess the potential impact of draft regulations, at French or European level, and provide recommendations;
  • taking part to digitalization projects related to governance and corporate topics, and being an active innovator (legal design for presentations addressed to Top Management).

The skills that you will need to make an impact:

  • You have an initial background in Law (Bac+5 level or equivalent) with a specialization in corporate law; an additional degree (LLM or business school) is appreciated;
  • 1-5 years of experience in a corporate/securities/governance role within a law firm, a listed company or a consulting firm;
  • A strong understanding of corporate governance principles and capital markets’ regulations;
  • Ability to manage complex projects (PMO) and provide legal advice;
  • Excellent interpersonal and communication skills with the ability to collaborate effectively with diverse stakeholders at all levels;
  • Results-oriented, you want to get involved in a team and community of experts.
  • Strong analytical, writing, and summarizing skills, combined with a strategic mindset and attention to detail;
  • Ability to adapt to a changing environment;
  • Fluency in French and English as working languages.
