📢 Update | We are pleased to share that our team at Hammurabi & Solomon Partners represented Government E Marketplace (GeM) in the present matter before the Hon’ble High Court of Kerala, that was decided on October 18, 2024, with a favourable verdict for our client. Imperial Engineering Company i.e. the Petitioner, participated in an online bid conducted by Bharath Petroleum Corporation Ltd. (BPCL) on the GeM portal for the maintenance of electrical equipment in BPCL, Kochi refinery, for the period of two years. Imperial Engineering vs. UOI & Ors., [WP (C) No. 27732 of 2024] before the Hon’ble Kerala High Court decided on 18.10.2024 Post the completion of the Technical evaluation and financial evaluation round of the bid, the Petitioner was awarded the contract. The dispute arose when the GeM portal demanded the “transaction charges” from the petitioner on the entire contract value inclusive of GST as per the Revenue policy of the GeM portal. However, the Petitioner refused to pay the transaction charges on the entire contract value inclusive of the GST component on the ground that the said application of transaction charges on the entire contract value inclusive of GST amounts to double taxation as the GST is already applied on the contract value. Per contra, GeM clarified that there are two distinct and independent transactions upon which GST is lawfully imposed, firstly on the transaction between the buyer and seller, which results in the generation of a GeM contract reflecting the "Total Order Value"; and secondly on the transaction charges paid by the seller for the use of the GeM portal’s platform services, enabling the seller to participate in the bidding process and secure the GeM contract. Additionally, GeM also apprised the Hon’ble Court that as per Revenue policy of the GeM the transaction charges are applicable on the entire contract value and the Petitioner was well aware of the same before participating in the bid. Upon hearing the arguments presented by both the contesting parties, the Hon'ble High Court concluded that the Petitioner's claim of double taxation was without merit and upheld the stance of GeM portal, further ruling that the transaction charges were lawfully imposed on the entire order value in line with the Revenue Policy of GeM. Consequently, the Petition was dismissed, rejecting all reliefs sought by the Petitioner. 👏 Congratulations team! #LegalVictory #HighCourt #GeM #HammurabiSolomon
