The Apex Court underscored the two key criteria that must be established for holding directors accountable in cheque dishonor cases. These conditions are distinctly outlined: First, a director must be "in charge" of the company’s affairs; and second, the director must be "responsible to the company" for the conduct of its business. The Apex Court emphasized that both of these elements are critical and must be clearly articulated in the complaint for liability to be attributed to a director. A mere blanket assertion based solely on the title of "director" will not suffice to impose liability under Section 141 of the Negotiable Instruments Act, 1881. It is essential to explicitly outline the director's specific responsibilities and involvement in the company’s operations and affairs for liability to be established.
