An Indemnity is a guaranteed protection from something. 3 THINGS TO NOTE BEFORE AGREEING TO INDEMNIFY ANOTHER PARTY AND WHAT TO DO IF YOU MUST GIVE INDEMNITY. A typical indemnity clause goes: "Mr. A agrees to indemnify and hold Mr B., its agents, assigns, employees and officers harmless against all claims, losses, damages or suits that may result from....under this Agreement" If you or your client is the Mr A., before you agree to indemnify, note that: 1. An Indemnity is an obligation, irrespective of how insubstantial the issue may be or the party at fault, except otherwise stated. 2. Indemnities usually involve paying an unascertainable amount of money, except capped. 3. Insurance doesn’t typically cover liabilities that result from indemnity obligations contracted by a policyholder, so an indemnifying party may need to double-check or risk covering the loss personally. If the other party insists on having the Indemnity, the party giving the Indemnity should try to make it mutual and/or limit it as much as possible. An open-ended Indemnity SHOULD NOT be accepted. The party giving the Indemnity can limit the Indemnity to: 1. The amount or a part of the amount paid by the indemnified party on the contract over a period of time (make the period short). 2. Issues which result from the faults of the party giving the indemnity or a breach of the contract by the party. 3. Issues that arise from ownership of Intellectual Property (IP) (be sure you own your IP first). 4. The issues that the indemnified party promptly notifies and allows the party giving the Indemnity to take over and defend or handle in the way it sees fit. 5. Issues that arise from the willful negligence of the party giving the Indemnity. 6. Matters which the party giving the Indemnity ought to have disclosed but willfully concealed. Rule No.1 in giving Indemnities: Push back!
