A&O Shearman advised Alior Bank SA on establishing a structured bank securities programme, making it the first Polish bank to establish such a programme. This transaction marks a significant milestone in the Polish banking sector and sets a precedent for future financial innovations. The programme aims to enhance the bank's ability to offer diversified financial products, thereby meeting the evolving needs of its clients and investors.   Our team was led by Łukasz Walczyna, assisted by Alicja Urbańska. The 10th edition of A&O Shearman's CEE Debt Finance Forum has left us with a wealth of insights and discussions on which to reflect. For professionals in the CEE finance sector, these insights are not only informative but also vital for strategic decision-making. A&O Shearman has successfully advised an international entity specializing in real estate investments on the €53.5 million acquisition of City Logistics Warsaw IV from Panattoni.   City Logistics Warsaw IV is a 39,000-square-meter modern industrial park strategically located just 11 kilometers from the heart of Warsaw. The prime location offers access to intermodal transport infrastructure, including a rail terminal and the E67 road, facilitating seamless connectivity between the capital and major cities across Poland.    The A&O Shearman team was led by Małgorzata Jastrzębska, with assistance from Julia Pytko, Aleksander Tarasiewicz and Jan Spierzak. A&O Shearman doradzało grupie banków konsorcjalnych finansujących inwestycję Mennica Legacy Tower. Nasza rola obejmowała wsparcie w zakresie strategii restrukturyzacji projektu oraz sprzedaży wierzytelności kredytowych na rzecz inwestorów. Zespołem A&O Shearman kierowali Bartosz Merczyński, PhD i Paweł Bartosiewicz, a w jego skład weszli Krzysztof Wasiewicz oraz Rafał Strzępek. Nasz zespół pracował nad kompleksową restrukturyzacją finansową projektu, co obejmowało analizę i opracowanie strategii restrukturyzacji zadłużenia, negocjacje warunków sprzedaży wierzytelności kredytowych oraz wsparcie prawne i doradztwo w zakresie transakcji z inwestorami. A&O Shearman advised Bank Millennium on issuing EUR 500 million 5.308 per cent Green Senior Non-Preferred Callable Fixed to Floating Interest Rate Notes due 2029. This the first issuance of Green Bonds by Bank Millennium. The notes are listed on the regulated market of the Luxembourg Stock Exchange, including its green segment, LGX. BNP Paribas, Erste, Millennium BCP, Morgan Stanley and UniCredit acted as joint lead managers. Z przyjemnością informujemy, że Wojciech Pawłowski, student V roku prawa Uniwersytetu Jagiellońskiego, został laureatem II edycji ogólnopolskiego konkursu na glosę z zakresu prawa upadłościowego i restrukturyzacyjnego organizowanego przez kancelarię A&O Shearman. Całościowy nadzór merytoryczny nad konkursem sprawowała Ewa Tkaczuk, starszy prawnik. Wojtek jest autorem opracowania merytorycznego do uchwały Sądu Najwyższego z dnia 1 grudnia 2017 r. (III CZP 65/17), która dotyczyła odpowiedzialności członków zarządu spółki z ograniczoną odpowiedzialnością w trybie art. 299 k.s.h., powołanych do pełnienia swoich funkcji po powstaniu niewypłacalności spółki. Nagrodzona glosa została opublikowana we wrześniowym wydaniu Monitora Prawa Bankowego (Instytut Szkoleń Prawa Bankowego), dlatego już dziś zachęcamy wszystkich do lektury.
