  • Three of our partners – Andrew Christie, Dawn Reoch and Ruaridh Cole - have authored the Scotland chapter of the Global Legal Insights' 2025 fund finance publication, also known as The Pink Book. In this chapter they discuss the unique characteristics of Scottish limited partnerships, which make them a popular choice of vehicle in UK and international fund structures. They also highlight key developments in the Scottish market, in particular the positive and fundamental changes that will impact fund finance transactions when the Moveable Transactions (Scotland) Act 2023 comes into force on 1 April 2025. • Executing successful bolt-on transactions brings different challenges depending on the business, its sector, shareholder base and personalities.   No two deals are the same, but based on our experience, being mindful of the specific considerations can help streamline the deal process and maximise the benefits of a bolt-on acquisition.   Over the past 24 months, we have advised 30 private equity sponsors and their platform businesses on more than 70 bolt-on transactions. This has given us deep insight into what drives success—both in terms of deal processes and key transaction terms.   Read our legal briefing by Daniela Pallucci and Grant Stevenson here: https://bit.ly/4jKT0UL

  • Last night, colleagues across our three offices had the opportunity to watch a screening of Why Not Scotland?, a powerful film by SCOTLAND: The Big Picture. Why Not Scotland? follows a young Scot exploring rewilding projects across Europe, looking at how nature recovery transforms landscapes and communities, asking if it’s possible elsewhere, why not Scotland? The film supports the Rewilding Nation campaign, urging Scotland to lead the way as the world’s first Rewilding Nation, restoring nature across 30% of its land and seas. It highlighted rewilding’s potential – not just to restore nature but to create opportunities for people and communities to thrive alongside it, even in urban spaces. We’re proud to be SCOTLAND: The Big Picture’s Rewilding Business Partner, working towards a wilder, more resilient Scotland. The inspiring film challenges us to reflect on the role we can all play in this vision and how we can help drive this vital conversation forward. Learn more about the film and campaign here: https://bit.ly/4atmwKz
