    Every limited company is legally required to have a set of publicly available Articles of Association. Think of them as the company’s rulebook, setting out the company’s purpose and how it is to be run. While default Articles apply to most companies, they can be customised to include specific rules, like restrictions on share sales or issuing new shares. If you have more than one shareholder, it is advisable for a limited company to also put in place a Shareholders’ Agreement which is a private contract made between the shareholders of the company setting out their respective rights and responsibilities within the wider context of the operation of the company. Note, however, that a breach of a Shareholders’ Agreement usually just means damages. This differs to a breach of the Articles which could lead to the offending action being declared void.     TP Legal has joined Clearly Business Law! There have been some exciting changes within Artington Group and we are delighted to be sharing this news with you. Clearly Business Law is part of Artington Group which also includes Artington Legal and now TP Legal. TP Legal provides legal services in Commercial Property, Residential Property, Employment and Business Law. The addition of TP Legal will expand Clearly Business Law's offerings to businesses and individuals. Tariq Phillips, the founder of TP Legal is a commercial property solicitor and will continue to work with the TP Legal commercial property team, consisting of Zoe McCaig and Fedda Abdel-Rehim. Tariq is a BII Accredited Advisor and acts for landlord and tenant companies who own/occupy business premises such as offices, restaurants, bars, industrial units, shops, pubs and buildings. Jayne Gill, heads up the Residential Conveyancing team. She is assisted by Matthew Digling, a residential property solicitor, and by Leanne Reid, a licensed conveyancer. Tad Ostrowski, Managing Director of Clearly Business Law commented: “We are delighted to have expanded our services to include residential property and excited to have grown our commercial team, our employment team and our commercial property team.
