Tues 29th October- 10.30am - VIRTUAL ⭐ What does a Management Incentive Agreement / Service Legal Agreement look like under Private Equity? ⭐ What do you need to consider? Last year, Ben Searls introduced NOVA Community to Dan Martinez at Liberty Corporate Finance. We were discussing how, when a company is being sold / selling to PE, the Management Team will need advice separate from the advisory or legal firms in place on behalf of the companies involved. We therefore set up a session to support our Women in Private Equity group within the NOVA Community, but also for any Members interested in learning more. From cap table to relevant % equity, type of equity to good / bad leaver clauses, it was an insightful session. We are delighted to have Dan back tomorrow, given the growth of the community in the last 12 months, to speaker to us again. You are welcome to join us for a thought provoking set of material! ⭐️ Not yet a Member? If you are senior female leader, looking to connect with others and also have great learnings along the way as part of an informal but powerful network.... feel free to drop us a line at info@novacommunity.co.uk and ask about our Cohorts and how to join. #Community #Leadership #PrivateEquity Billie O'Connor Charleigh Burroughs Elli Karavia Charlotte Burridge

You are invited to delve deep into the dynamics of the stages from pre to post acquisition across two sessions, led by our expert partners in this space CFGI UK Earlier in the year we ran a successful “Transaction basics” session with Billie O'Connor and Sanvri Nathu, which focussed on the steps, challenges, and opportunities when selling a business (whether PE or Trade). Emma Barnett will lead us through Acquisition readiness, and the Operational Prep. Ash Clifford ACA will talk to us about Capital Market -> the art of transactions and Due Diligence Parm Dhillon will then lead us through the Due Diligence process in more detail. How to approach and make difficult conversations happen in the workplace? 💭 Our first Leaders Learn session - intimate group size, in person, led by a highly experienced executive coach, will explore real life examples of the workplace. The small format peer to peer group enables a trusted, confidential space to share experience and challenge our thinking. Wednesday 6th November 9am We all have situations where what we want to say feels awkward or uncomfortable, to the extent that we want to avoid these conversations. It just feels too risky, or too hard, or we are just unable to say what needs to be said. This can be really limiting and can also have career-limiting implications in the future, or can turn a good team or relationship into something tense and uncomfortable, or worse. It can mean that someone else is really held back, as you couldn’t address an issue or give some feedback or share some information. In this session, we will explore - • steps and techniques you can work with • getting insight into what is really holding you back from the conversation • framing your needs so someone else can hear • understanding what might be going on for the other party • evaluating your risk and minimising that • creating a manageable plan for yourself to tackle what needs to be said Email info@novacommunity.co.uk to join the session; open to Members, Guests and selected Partner referrals. ⭐️ GOING FURTHER, FASTER! ⭐️ Our two programmes - “Risk Management for Senior Leaders”, and “Leaders Learn” - enable us to bring together senior leaders to discuss key topics on both a technical and leadership skills basis, in a small group of trusted peers, and accelerate development and growth in these areas. This week, our Risk Management series focussed on FX & Currency. In a world where currency markets can be more volatile in short periods of times, whilst the world of industry is looking for certainty, understand the tools and levers available to a business can lead to setting the right policy based in the space FX Management to match: - An organisations appetite to risk - It’s relative value and number of currencies to “manage” - It’s baseline versus it’s strategic direction Thank you to Reece D. and GPS Capital Markets for supporting the conversation, and also some great senior finance leaders who around the table had years of experience to share and bring to the discussion. Thank you to Fortnum & Mason for excellent hosting as usual - we will be back! See comments for our NOVA Community Member brochure, first more details on these programmes - and any questions, please let us know at info@novacommunity.co.uk
