About us
We have been an innovative and forward-thinking firm since day one. And that was more than 100 years ago. We know change. We’ve seen a lot of it, and we’ve helped clients navigate through the uncertainties and complexities of it. We’ve succeeded because we have found ways to provide unique solutions to problems, often in ways different than other firms. Ways that keep our firm and our clients prepared for what’s next. It’s what sets us apart. And it’s what makes us a great partner for taking on whatever comes next. Since the firm was founded in 1909, we have grown from four attorneys with offices on the third floor of a small office building in downtown Columbus, Ohio to a nationally recognized firm of approximately 375 attorneys with 10 offices in Ohio, Washington, D.C., Texas, Pennsylvania, California, London and Berlin. Today, we are an Am Law 200 firm that provides strategic business and legal counsel to businesses, including multiple Fortune 500 companies, throughout the U.S. and around the world.

A key advantage of a LLC over a corporation is the ability to modify or eliminate traditional fiduciary duties: the duty of loyalty and the duty of care. These fiduciary duties may be imposed by statute or by common law, depending on the state, and the specific terms of the fiduciary duties can vary from state to state. The duty of care generally requires that a LLC’s managers (or its members, if the LLC is managed directly by its members) or a corporation’s directors act in good faith and in a reasonably prudent manner. The duty of loyalty typically requires that an LLC’s managers or a corporation’s directors act in the best interest of the LLC or corporation, and a duty of confidentiality is typically viewed as a subset of the duty of loyalty.
