1 Market timing

The first factor to consider is the state of the market and the industry in which the company operates. Ideally, you want to sell when the market is favorable, meaning that there is high demand, low supply, and strong valuations for companies in that sector. You also want to avoid selling when the market is unfavorable, meaning that there is low demand, high supply, and weak valuations for companies in that sector. However, market timing is not always predictable or controllable, so you need to monitor the market trends and signals closely and be ready to act when the opportunity arises.

Market timing can very tricky and can lead to many possibilities ranging from high value creation or unfortunate value destruction . A few takeaways to consider: 1. Results don't always follow plans, be prepared for surprises, good or bad. Every now and then a sudden life changing event occurs that no research or market signals could have ever predicted. 2. Build cash reserves, information and performance buffers and have contingency plans in place 3. Avoid emotional bias and following trends without deep analysis 4. Seize opportunities when they come, avoid greed. 5. Don't treat long term investments like a tourist; stay invested over long investment cycles as tipping points and the highest returns happen only at specific time intervals.

In my opinion, the ideal time to exit comes at the alignment of various factors, few of them are mentioned below: 1) Stage of initial investment: If you are a Seed or pre-seed investor you might want to exit when a company reaches to Series B/C stage. This gives you enough value appreciation and also releases equity for the company to issue it to late-stage investors without diluting everyone. There are few exceptions to this rule if the company is outperforming but in general, this rule stands tall.

2 Company performance

The second factor to consider is the company's performance and growth potential. Ideally, you want to sell when the company has achieved its strategic goals, improved its operations and profitability, and maximized its value. You also want to avoid selling when the company is underperforming, facing challenges, or losing its competitive edge. However, company performance is not always stable or consistent, so you need to evaluate the company's financial and non-financial indicators regularly and be realistic about its future prospects.

2) Life of the fund/ LP expectation: Every fund carries certain expectations of LPs and regulatory deadlines of the fund. In my opinion, the early stage funds should start giving exits after 5-7 years of the investment cycle. This time period is enough to understand the value of the company and gauge if the company will be a winner or a write-off. So after the 5-7 years of building a company have been passed the fund shall start partially exiting the company in every new primary/ secondary round

3 PE objectives

The third factor to consider is the PE firm's objectives and constraints. Ideally, you want to sell when the PE firm has met or exceeded its target return, reached its desired holding period, and aligned its interests with the company's management and shareholders. You also want to avoid selling when the PE firm has not achieved its target return, faced pressure from its investors or lenders, or conflicted with the company's management and shareholders. However, PE objectives are not always clear or flexible, so you need to communicate and negotiate with your stakeholders effectively and be transparent about your exit plans.

3) Sometimes to sell a distressed asset you have to peg it to your high-value asset and sell it to the buyer. No one is interested in buying a distressed asset, however, will be interested in the same if a high-value asset is pegged to it. This strategy is unheard of but works well in certain situations.

4 Exit options

The fourth factor to consider is the availability and attractiveness of exit options. Ideally, you want to sell when there are multiple and diverse buyers who are willing and able to pay a high price for the company. You also want to avoid selling when there are few or no buyers who are interested or qualified to buy the company. However, exit options are not always easy or feasible, so you need to explore and evaluate different exit routes, such as initial public offering (IPO), trade sale, secondary buyout, or dividend recapitalization.

5 Exit preparation

The fifth factor to consider is the level of preparation and readiness for the exit. Ideally, you want to sell when the company is well-positioned and attractive for the exit, meaning that it has a clear and compelling story, a strong and stable management team, a clean and transparent financial record, and a robust and realistic valuation. You also want to avoid selling when the company is poorly-prepared and unappealing for the exit, meaning that it has a vague and weak story, a shaky and uncertain management team, a messy and opaque financial record, and a low and unrealistic valuation. However, exit preparation is not always quick or easy, so you need to plan and execute the exit process carefully and efficiently.
