What do you do if you need to negotiate contracts in a new industry?

To negotiate any agreement effectively, it is important to have an understanding of the industry. Without this understanding, we may struggle to grasp the rationale behind requests or their significance. A contract embodies both legal clauses and commercial insights, necessitating a solid need to understand industry fundamentals to actively engage. Conducting thorough research into the industry's dynamics and processes is essential. This knowledge not only helps in assessing the value proposition but also elucidates how it mutually benefits all parties involved.

The first step has to be to develop an understanding of the practices, risks and risk mitigation measures in the relevant industry. Thereafter one should have a clear discussion with the client about their perception of the risks and the appetite to bear some of those inherent risks or their perspective on how to manage them . It would also be relevant to share one’s own thoughts and possible solutions keeping in mind the industry practices as well as the expectations of the parties on these points.

In my opinion if one need to negotiate contract in new industry. one should do research about the industry, challenges relating to that particular industry and laws applicable to it that industry. after gathering all relevant knowledge and information, one should pursue with negotiations.

I cannot agree more. Understanding (if not mastering) the challenges of this new industry is key to a negotiation: as negotiations progress, your skills do as well. More than the industry, it is vital to search for the real needs of the counterpart while entering the negotiation so as to tailor your own negotiation skills. My 30 years of manufacturing experience propels me to always harp on quality, consistency & integrity which is very less prevalent in today’s market. Cheap is always costly is our motto. Many a time the customers ignorance / lack of comprehension or knowledge is taken as an advantage by the schreud seller. One of my repute customers was smartly cheated by giving a 8:1 ratio polyurethane paint as against the conventional 4:1 polyurethane paint at a cheaper rate . The customer was ignorant of the ratio difference & the effect it would have on its ultimate product quality. Apples r compared against oranges. But in the long run educating your customer & making him aware of his ignorance is far better than taking advantage of him .

Based on your research, you can identify your offer MDO & LDO. Based on it, you can propose your offer with reasonable justifications (tangible & intangible also). Logical proposal gets accepted more easily.

One has to understand the clients requirements. New industry if is quality conscious can be easily convinced as we r on the same plane. But if the client is only price conscious then it’s a tough task as you have to make him quality conscious & make him understand life of the product viz the cost of the product & be able to prove the difference between the good & the bad quality of the product. Second important aspect is one should not be lured by the quantity of order. We have been always able to convince the optimum quantity to be ordered & not the hyped quantity. The difference in the ordered quantity & actual utilised is always 25-35 % . This builds up a confidence in the clients mind & he is convinced of saving monies in dealing

After identifying your MDO & LDO and putting up the proposal to your client / contractor, you must also be ready the deal may fail after breaching LDO and in that case, what is your BATNA. With proper analysis, negotiate strategically with other side. Listen their concerns also and address them to gain their confidence.
