📣 The FTC banned non-compete agreements! 📣 In an unprecedented 3-2 vote, the FTC just approved the final rule establishing a noncompete ban nationwide. According the FTC commissioners, the FTC received over 26,000 comments, noncompete agreements affect 1 in 5 U.S. workers, and one commissioner even argued that enacting the ban could save over a billion dollars. In 120 days, existing noncompete agreements will become unenforceable for everyone but senior executives, and new noncompete agreements will not be enforceable at all. Opponents of the noncompete are unlikely to accept this decision, as the two dissidents explained that the FTC may lack constitutional authority to impose the noncompete in the first place. Have you heard about the FTC's proposed ban on noncompete agreements? In January 2023, the FTC released a proposed rule that would place a federal ban on non-compete agreements, except under very limited circumstances. Some argue that noncompetes hurt workers' rights to switch roles, while opponents of the proposed rule claim that the ban would negatively affect businesses' willingness to invest in training, research, and development. After extending the 90-day comment period due to an influx of responses (over 26,000), tofay, the FTC will first vote live on whether to make their determimation public, and if so, they will then vote on the ban at 2:00 ET / 1:00 CT. Absolutely. If ever you're stuck re-negotiating a term in an agreement over and over, make sure you take a moment to: 1) bring it front and center so it doesn't get conflated with other issues; and 2) determine what the other side wants and see how you can all win. This has respnated with me since I took my law school negotiations class: One of the best tactics in a negotiation is remembering that instead of cutting up a pie differently, find out if you and the other side can bake a second pie. Figure out their concerns and get creative.
CEO @ How to Contract | Helping lawyers and in-house teams get better at contracts and managing risk
Today's contract tip is about dealing with stalled negotiations. An attorney wrote to me to share his frustration that the other side on a deal had restored the language that he'd deleted six times. Neither party was moving. It was a classic case of brinkmanship, with each attorney waiting it out to see who would blink first. When we are making progress in a negotiation on the other provisions, I don't necessarily see a lot of back and forth on a single provision as a bad thing. If we aren't making progress and don't have an easy resolution in sight, I often suggest that we defer any further discussion of the issue until the end. Then I'll put the disputed language or section in brackets with a note that it is on hold. I find this approach often does the trick. It takes the pressure off and allows us time to resolve other parts of the contract. With the other issues mostly resolved, it is a lot easier to settle the handful of difficult ones left. If a delay isn't an option, I may do the opposite and make it front and center. I'd set up a call with the other side to discuss that one provision. The key in these cases is to get past the wording and talk about each side's worries about risk and consequences. Then we brainstorm together on ways to address the concerns. If we reach the end of the negotiation and still haven't decided, then I have that talk with the decision-maker on my side if I do not have the final say on it. Today marks one year since I started Accelerate Law STL, and it's been a busy one: - One year of networking and small business events. - One year of drafting and reviewing all kinds of contracts. - One year of discussing goals and how to scale with my clients. - One year of learning marketing techniques and Quickbooks (ugh). - One year of learning about the best coffee shops in town. - One year of learning what works and what doesn't. - One year of trying new things. - One year of trying, period. One year of authenticity. Maybe the only constant in my practice has been to never stop being me, even as I needed to adapt, change, and pivot. I'm not the attorney who wears my nicest suit to impress a potential client on the top floors of a tall office building. No shame to the folks who operate that way--it's clearly a solid business model. Instead, I prefer having boots on the ground as a member of the entrepreneurial and small business community here in St. Louis. My sleeves are (often literally) rolled up, and this coming year, I'm ready to continue working as your trusted partner so we can clear your legal hurdles as a team.
