Partner Craig D. Minerva reports on his participation at Informa Connect’s CompLaw: Merger Control conference in Brussels yesterday and includes some practical takeaways regarding EU merger control.
Really enjoyed participating in the CompLaw: Merger Control conference in Brussels yesterday. We had a terrific panel on Uncertainty in Multijurisdictional Mergers. Great to hear in-house perspectives from Céline DARRIGADE, Beatriz Sanz Fernandez-Vega, Kamya Rajagopal, and Chris Idermark-Boyd. Two main practical takeaways from the conference, especially for folks not laser focused on European merger control: 1: The national competition authorities of EU members states have been considering use of their call-in authority to review potentially problematic transactions that do not otherwise meet merger control thresholds. For example, the Italian Competition Authority has been quite active. So even though the Illumina/Grail judgment provides some clarity, call-in risk remains. 2: The EU Foreign Subsidy Regulation (FSR) is a broad new merger control program aimed as assessing whether foreign subsidies can result in "distortions" of the internal EU market. This young program can be quite opaque and burdensome for some companies. And unfortunately it can result in delayed time to closing for some transactions.
