    𝗕𝗶𝗴 𝗪𝗶𝗻 𝗳𝗼𝗿 𝗜𝗻𝗱𝗲𝗽𝗲𝗻𝗱𝗲𝗻𝘁 𝗣𝗵𝗮𝗿𝗺𝗮𝗰𝗶𝗲𝘀: 𝗖𝗼𝘂𝗿𝘁 𝗥𝘂𝗹𝗲𝘀 𝗖𝗩𝗦'𝘀 𝗠𝗮𝗻𝗱𝗮𝘁𝗼𝗿𝘆 𝗔𝗿𝗯𝗶𝘁𝗿𝗮𝘁𝗶𝗼𝗻 𝗖𝗹𝗮𝘂𝘀𝗲 𝗶𝘀 𝗨𝗻𝗲𝗻𝗳𝗼𝗿𝗰𝗲𝗮𝗯𝗹𝗲 The U.S. District Court for the District of Arizona issued a preliminary ruling in a lawsuit involving @Osterhaus Pharmacy and other independent pharmacies against CVS Health Corporation and its subsidiaries, including Caremark. At issue is whether the Osterhaus plaintiffs can even be in federal court over a CVS/Caremark contract issue since the contract has a mandatory arbitration clause. In other words, the defendant CVS wants the court to remand the Osterhaus matter to arbitration. On November 14, 2024, the court issued an order regarding whether the mandatory arbitration clause was enforceable. In the order, the court signaled that arguments presented by Osterhaus regarding unconscionability of the mandatory arbitration clause were compelling enough for the federal case to proceed. Next Steps: • Osterhaus Matter Will Remain in Federal Court Because the Mandatory Arbitration Clause May be Unconscionable: Plaintiffs argue that CVS Caremark engaged in monopolistic practices through excessive fees and anticompetitive contracts that disproportionately harm independent pharmacies, particularly in underserved communities. The Honorable John J. Tuchi writes, “Court concludes that the appropriate course of action is to order supplemental briefing on the question of whether the arbitration agreement is unconscionable.” He writes earlier in the order that the contractual provision that “delegates” the issue of whether a contract violation • Can an Arbitrator Decide if Something is “Arbitrate-able?” The judge was clear on one thing. He doesn’t agree that CVS’s delegation clause is enforceable. What is a delegation clause? The CVS contract and its attorneys argued that the contract between CVS and Osterhaus requires arbitration and even if there is a question about whether arbitration is allowed under federal law, the arbitrator needs to decide that before a court can be involved. This is called a delegation clause. In this case, the judge finds the delegation clause unenforceable because it requires a $50,000 escrow payment before the arbitrator can determine if the contract can be arbitrated. Did your head explode yet? The good news is that the judge finds that the federal court is a better place to hash out a question about whether a contract dispute is “arbitrate-able,” not the arbitrator. • Stay Tuned. This is big win for Osterhaus and its attorneys at Terrell Marshall Law Group PLLC. This decision highlights growing scrutiny of arbitration clauses in contracts, especially in cases involving power imbalances.     𝐀𝐭𝐭𝐞𝐧𝐭𝐢𝐨𝐧 𝐌𝐢𝐧𝐧𝐞𝐬𝐨𝐭𝐚 𝐏𝐡𝐚𝐫𝐦𝐚𝐜𝐢𝐞𝐬: 𝐔𝐩𝐜𝐨𝐦𝐢𝐧𝐠 𝐑𝐞𝐪𝐮𝐢𝐫𝐞𝐦𝐞𝐧𝐭 & 𝐒𝐮𝐫𝐯𝐞𝐲 𝐨𝐧 𝐀𝐜𝐜𝐞𝐬𝐬𝐢𝐛𝐥𝐞 𝐏𝐫𝐞𝐬𝐜𝐫𝐢𝐩𝐭𝐢𝐨𝐧 𝐃𝐫𝐮𝐠 𝐋𝐚𝐛𝐞𝐥𝐬 The Minnesota Department of Health (MDH) is rolling out a critical initiative to improve accessibility for all patients. Beginning January 1, 2026, all pharmacies must make accessible prescription drug labels with large print, Braille, or audible labels available at no additional cost. Pharmacies unable to provide this service must guide patients to a list of capable pharmacies. In the coming weeks, all licensed pharmacies in Minnesota will receive an online survey to gather information about their capacity to provide accessible prescription drug container labels, including large print, Braille, and potentially audible labels. The survey will help MDH achieve two main goals: 1. 𝐂𝐨𝐦𝐩𝐢𝐥𝐞 𝐚 𝐋𝐢𝐬𝐭 𝐨𝐟 𝐀𝐜𝐜𝐞𝐬𝐬𝐢𝐛𝐥𝐞 𝐏𝐡𝐚𝐫𝐦𝐚𝐜𝐢𝐞𝐬 MDH will publish a quarterly list throughout 2025 of pharmacies that currently provide accessible labels, ensuring patients have access to pharmacies equipped to meet their needs. 2. 𝐄𝐯𝐚𝐥𝐮𝐚𝐭𝐞 𝐂𝐨𝐬𝐭𝐬 & 𝐎𝐩𝐭𝐢𝐨𝐧𝐬 𝐟𝐨𝐫 𝐀𝐮𝐝𝐢𝐛𝐥𝐞 𝐋𝐚𝐛𝐞𝐥𝐬 Your feedback will also help MDH assess the costs and explore options for offering audible prescription labels, contributing to a report with recommendations to the legislature. Sometimes new regulations can seem overwhelming and expensive to implement. Free visually impaired friendly labels aren’t as difficult to implement as you think.
