The Corporate Transparency Act (CTA) introduces new mandatory reporting requirements for certain companies operating in the U.S. and aims to establish a national database to assist law enforcement and national security agencies in combating financial crimes. 📃Reporting Requirements: Who Must Report: Both U.S. (Domestic) and Foreign entities registered with the Secretary of State or a similar office must comply. This includes corporations and LLCs. Exemptions: Domestic entities not created by filing a document with a Secretary of State or similar office. ⏱️Filing Deadlines: New Entities (created/registered in 2024): File within 90 days. New Entities (created/registered after 12/31/2024): File within 30 days. Existing Entities (created/registered before 1/1/24): File by 1/1/25. Changes/Inaccuracies: File updates or corrections within 30 days. 💲Penalties for Non-Compliance: Daily penalties of $591, up to $10,000, and possible imprisonment of up to two years. The American Rescue Plan Act of 2021 reduced the Form 1099-K filing threshold from $20,000 to $600.
