In July, Disney’s Slack server was hacked. As a result, company information was compromised and financial information, computer codes and other sensitive company information was extracted. While Disney says these data are not material, Disney declared that they would migrate from Slack to some other system(s). On Tuesday, Sept. 17, all seven independent directors resigned from the board of 23andMe, after a months of negotiations with the CEO Anne Wojcicki to take the company private. So, now it’s just Ms. Wojcicki on the board. With the entire board gone, it raises some interesting board governance questions, questions about independence and how should a company replace its entire board at once? Rami Cassis, the CEO and founder of Parabellum Investments, recently wrote on the Mergers & Acquisitions trade site, “Management Shake-Ups are the Path to Survival in a Deal Drought.” Cassis details how traditional exit pathways have been blocked and ownership and/or leadership needs to rethink operational strategy for portfolio companies. Cassis shares, “GPs {general partners} should be experimenting with C-suite changes and bringing in industry outsiders. Professionals from marketing and HR can bring a wealth of insights that have been sorely lacking in the private equity industry. This could be the spark portfolio companies need in their management to drive long-term organic growth and start generating returns for GPs.”
