This litigation started with a massive Russian cyberattack which affected many companies. To many in-house lawyers, charging SolarWinds the way the SEC did appeared to be overreaching and the court agreed. Including the CISO personally took things a bit further. To bring these charges, the SEC made claims based on internal control violations. But with this line of argument nearly any adverse event at a company can be made into an internal control violation. By rejecting the SEC’s pushing the envelope this way, the judge’s opinion has broader implications than just for cybersecurity.
