🚨 🚨 The Q2 GF Data reports here! Second Quarter M&A and Leverage show a continuation in the resurgence of deal volume in the middle-market. We are well on pace to surpass 2023's deal count by nearly 23%. But while volume and valuations rebounded in Q2, the bigger story involves deal quality and deal type. Our leverage report shows that while senior debt pricing and average contribution across all deals improved in H1, challenges remain in the market, especially when looking at platforms. ➼ GF Data PEG contributors reported on 90 completed deals submitted for Q2, bringing the first half of 2024 to 180 completed deals. ➼ Average purchase price multiples on completed deals in Q2 reached 7.4x (TTM) EBITDA, an increase of a half turn of EBITDA from the Q1 average deals valued at less than $100mm all saw increases in valuation, as well as deals valued between $250mm and $500mm. ➼ Fewer financially strong businesses closed transactions in H1, as we recorded a decline in the percentage of companies with Above Average Financial Performance (AAFP). ➼ Add-on investments spiked in H1, reaching 44% of deals tracked over the last two quarters, compared to 35% of transactions for all of 2023. Some initial impressions: ➼ Deal volume continues its upward trajectory from Q1, while average multiples also rebounded about half a turn from Q1 with valuations sub-$100mm seeing improvement. ➼ Add-on activity is driving the market, with 1H bringing weaker companies to market as high-performers sit on the sidelines. ➼ Debt markets continue to show improvement based on capital stack analysis and average pricing for senior debt. I know we've been a bit quiet at GF Data this summer; I promise that the hard work hasn't stopped. We are diligently working on a number of things in the background, as we are soon to deliver more value to our extremely loyal clients.
