Private credit is much more than just debt. The majority of assets in distressed-debt funds are equity, and for mezzanine and generalist private-credit funds, nearly 40% of assets are equity instruments, according to MSCI Private Capital Transparency Data as of Q3 2024. Outside of senior lending, private-credit funds commonly take equity positions in a company alongside loan origination, and the ratio of private-credit debt and equity investments has been stable in recent years. (Restructuring of debt into equity can also turn investors into equity owners; however, we have yet to see loan distress leading to a spike in such restructuring in the current market.) The prevalence of equity in private credit is a critical consideration for investors trying to understand performance and risk, and they should carefully consider the exposures of the specific funds they invest in.
