Thank you to all attendees for the engaging conversations and valuable insights shared! 2️⃣ NASPP Philadelphia Chapter Meeting: It was fantastic to connect with industry peers in Philadelphia. Navigating the Internal Revenue Service requirements for ISOs can be tricky. Here are some other essential points to keep in mind: - Employees who own stock representing more than 10% of voting power must receive grants with an exercise price of at least 110% of FMV at the date of grant with a life of no more than 5 years to retain tax beneficial status. - If you separate from your employer, you must exercise your ISOs within 3 months to retain beneficial tax status. - If the grant date FMV of awards first exercisable in a year exceeds $100,000, awards over that threshold lose beneficial tax status.  For example, if an award vesting 25% per year over 4 years has an aggregate value at grant date of $300,000 and the participant has no other outstanding ISOs, the full award retains its ISO status, as each year has $75,000 worth of shares first exercisable.  If an award of equal value had a vesting schedule of 50% per year over 2 years, the $100k first exercisable rule would apply and $50k of the total $150k first exercisable in a year would lose beneficial tax status. Don’t Forget Alternative Minimum Tax (AMT)! - No ordinary taxes on ISO exercise, but the compensation value must be recognized in AMT. - You won't pay both ordinary income tax and AMT. If AMT is higher, you pay that instead. - AMT is calculated on the ISO’s spread, or difference between the strike price of the award and its fair market value at exercise, aggregated across all exercised ISO shares   - Check with your tax professional for details around an AMT Exemption and AMT Tax Rate Ensure you’re meeting these requirements to take full advantage of your ISOs. #TaxCompliance #ISOs #OptionTrax
