Georgia Banking Company, Inc. ("GBC"), the parent company of Georgia Banking Company, and Primary Bancshares Corporation ("PBC"), the parent company of Georgia Primary Bank, jointly announced the signing of a definitive agreement under which PBC will merge with and into GBC in a stock and cash transaction with an aggregate value of approximately $27 million. Performance Trust Capital Partners served as exclusive financial advisor and rendered a fairness opinion to Primary Bancshares Corporation in connection with this transaction. Kaukauna, Wisconsin-based EWSB Bancorp, Inc. (the “Company”) announced that East Wisconsin Savings Bank (the “Bank”) has completed its conversion from the mutual holding company (the “MHC”) form of organization to the stock holding company form of organization (the “Conversion”), and the Company has completed its related stock offering. As a result of the Conversion, the Company is now the holding company for the Bank and the MHC will cease to exist. Liberty Capital Bancshares, Inc., the parent company of Liberty Capital Bank, and Boerne, Texas-based Southwestern Bancorp, Inc., the parent company of Texas Heritage Bank, announced that they have entered into a definitive merger agreement whereby Southwestern Bancorp, Inc. will merge into Liberty Capital Bancshares, Inc. The combined organization will have total consolidated assets of approximately $640 million with a strong core deposit franchise.
