In celebration of National Pro Bono Week, we are sharing reflections from our pro bono team. Schulte associate Kevin Johns focuses his pro bono work on Section 1983 civil rights litigation and was part of the Schulte team that won a partial preliminary injunction halting Oklahoma classroom censorship law, HB 1775, which seeks to restrict teachers and students in K-12 public schools and public universities from learning and talking about race and gender. As co-counsel with the Lawyers' Committee for Civil Rights Under Law, ACLU, and ACLU of Oklahoma, Schulte represents a diverse coalition of students and educators challenging Oklahoma classroom censorship bill HB 1775, which limits discussions on race and gender within public school classrooms. The lawsuit contends that HB 1775 infringes on the First Amendment rights of students and educators to engage in open dialogue about these crucial issues, hindering a comprehensive understanding of American history that encompasses the perspectives of historically marginalized communities. On Oct. 10, 2024, the Federal Trade Commission (“FTC” or the “Commission”) — with the concurrence of the Antitrust Division of the US Department of Justice (“DOJ”) — announced the FTC’s unanimous, bipartisan vote to adopt a final rule implementing the most significant changes to the Hart-Scott-Rodino Act (“HSR”) premerger notification rules in the HSR program’s 45-year history (the “Final Rule”). Although nowhere near as sweeping and burdensome as the original proposed changes (on which we wrote in 2023), the changes will meaningfully increase the time and effort required to prepare HSR filings for all reportable transactions. For investment funds (and any other filers), the magnitude of the increased burden will vary with the potential antitrust risks raised by the transaction type. The bi-partisan Corporate Transparency Act (CTA), which became effective on Jan. 1, 2024, by the first final rule implementing the CTA (“BOI Rule”), was enacted to curb illicit finance and money laundering by providing law enforcement access to information about the ultimate individuals who beneficially own and control legal entities formed or registered to do business in the US (each, a “Reporting Company”). Under the BOI Rule, Reporting Companies are required to file a beneficial ownership information report (“BOI Report”) with the US Department of the Treasury’s Financial Crimes Enforcement Network (“FinCEN”). FinCEN expects over 32 million Reporting Companies will be obligated to file a BOI Report and the reporting deadline for existing Reporting Companies is fast approaching.
