Simpson Thacher represented the underwriters in connection with the re-IPO of LATAM Airlines Group S.A. and re-listing of its American depositary shares on the New York Stock Exchange in connection with the public offering by certain shareholders of LATAM to sell 19,000,000 ADSs, resulting in gross proceeds of $456 million to the selling shareholders. The ADSs began trading on the NYSE on July 25, 2024 under the ticker symbol “LTM,” and the transaction closed on July 26, 2024. LATAM is the largest airline group in South America and one of the ten largest airline groups in the world, as measured by the number of flights operated. It is also the largest air cargo carrier in South America, as measured by cargo fleet. LATAM provides passenger transport services to 148 destinations in 26 countries and cargo services to 166 destinations in 33 countries, with an operating fleet of 336 aircraft. Simpson Thacher is representing global investment firm KKR in its establishment of a joint venture (“JV”) with T-Mobile that will acquire Metronet, including its broadband infrastructure, rapidly growing residential fiber business operations and existing customers. The transaction is expected to close in 2025, subject to customary closing conditions and regulatory approvals. At closing, T-Mobile is expected to invest approximately $4.9 billion to acquire a 50% equity stake in the JV and 100% of Metronet’s residential fiber retail operations and customers, as well as funding of the JV. Metronet is uniquely positioned as the fastest growing pure play fiber company in the U.S. and an experienced independent fiber-to-the-home (FTTH) operator. The company currently reaches more than 2 million homes and businesses across 17 states with fiber solutions built on a state-of-the art broadband platform. Following the transaction’s close, Metronet will become a wholesale services provider for its retail customers and 100% of its residential fiber retail operations and customers will transition to T-Mobile. Metronet is expected to reach 6.5 million homes passed by the end of 2030. Simpson Thacher is representing Johnson Controls International plc in connection with its announced agreement to sell its Residential and Light Commercial HVAC business to the Bosch Group in an all-cash transaction valued at $8.1 billion. The transaction includes the North America Ducted business and global Residential joint venture with Hitachi, Ltd, of which Johnson Controls owns 60% and Hitachi owns 40%. As part of the transaction, Hitachi will retain certain ductless HVAC assets located in Shimizu, Japan. The transaction is expected to close in approximately 12 months, subject to required regulatory approvals and other customary closing conditions.
