The Corporate Transparency Act (the "CTA"), which went into effect on January 1, 2024, requires "reporting companies" in the United States to disclose information regarding its Beneficial Owners (individuals or entities owning at least 25% of a reporting company or who exercise substantial control over the company) and, for companies formed after January 1, 2024, its Company Applicant (the individual who directly files the organizing instruments to create or register the reporting company, and the individual responsible for the person directly filing), to the Treasury Department's Financial Crimes Enforcement Network ("FinCEN"). The CTA applies to entities formed before and after January 1, 2024, and civil and criminal penalties may apply for failing to report to FinCEN. We strongly encourage businesses to determine whether they fall within the definition of a reporting company and, if so, what steps must be taken to comply with the CTA.
