✔ Case Study Friday! 🌳 Client experience is the name of the game amongst professional service providers. At the end of the day, it’s how we differentiate ourselves and add value. I’d love to share a recent #TOCA case study in which we ended up enjoying a huge success for our client and can do the same for you! Scenario: our client, a small services and repair business in the commercial/residential arena, was approached with an unsolicited LOI from a large, PE-backed rollup operation eager to gain market share in Texas. The LOI was reasonable, but the client asked us to see if we could get more. Enter Traders Oak Capital Advisors! Action: After a quick sell-side #QOE analysis, we were able to present a counter-offer to the buyer with an adjusted EBITDA almost 10% higher than was originally communicated. Further, based upon recent transactions, their known desire to enter the Texas market, and other factors, we were able to obtain another full turn on the proposed EBITDA multiple. LOI signed and on to diligence! Traders Oak Capital Advisors remained involved as point-of-contact with the Buyer through the process, managed the diligence phase, and gathered multiple requested documents while communicating with attorneys, insurance brokers, and other providers. We also constructed bridge financial statements at the closing date to capture unmade accruals, ensured all receivables were recorded, and negotiated a favorable net working capital target for our client. Results: With our assistance, our client was able to close the transaction in less than 90 days after being approached with the unsolicited offer, at a valuation of approximately 26% more than was originally planned. Everyone was happy and we are now searching for our client’s next company to buy!
