Deadline Approaching Under the Corporate Transparency Act Has your company filed its BOI report? As announced in December 2023, under the Corporate Transparency Act (CTA), certain legal entities formed before January 1, 2024 have to file a Beneficial Ownership Information (BOI) report with the U.S. Treasury Department’s Financial Crimes Enforcement Network (FinCEN) by January 1, 2025, providing certain information about its “beneficial owners.” That means that every legal entity formed by filing paperwork with a Secretary of State (or its equivalent) must determine whether it is required to file a BOI report or if it is exempt from filing. Has your company undertaken this review yet? UB Greensfelder attorneys are here to assist. We can answer questions you may have about the CTA to determine if your company is required to file or if falls within one of the 23 exemptions for filing.

On October 17, 2024, UB Greensfelder Partner Frances Floriano Goins moderated a panel discussion with election officials from Harris County, Texas and the Chicago, Illinois Board of Elections, titled Ballot Handling: Casting Your Ballot Safely and Legally. The program was a part of a nine-part series presented by the ABA to help educate voters on the most important issues to empower them to make their voices heard. This series, titled Empowering Every Voter, is a joint project of the ABA's Standing Committee on Election Law, a bipartisan committee of election law experts working to improve election administration through policy, programming, and advocacy, and the ABA's Commission on Law and Aging, which works to elevate and alleviate the issues faced by older Americans across the legal profession. Fran is the Acting Chair of the Programming Sub-Committee of the ABA Standing Committee on Election Law.

UB Greensfelder partners Beata Krakus and Abby Risner presented at the annual ABA Forum on Franchising in Phoenix, Arizona.
The ABA Forum on Franchising annual conference has once again been a great time with plenty of good opportunities to learn more about franchising and franchise law, and catch up with other franchise lawyers. This year, I presented on data privacy law challenges and considerations for franchise systems, and my UB Greensfelder colleague Abby Risner on franchise agreement rescission.

Today the U.S. Department of Homeland Security (DHS) designated Lebanon for Temporary Protected Status (TPS) for 18 months due to the ongoing situation in Lebanon. The TPS designation will allow Lebanese nationals (and individuals having no nationality who last resided in Lebanon), who have been continuously residing in the U.S. since October 16, 2024, to file initial applications for TPS, if they are otherwise eligible.
