Many of you have likely noticed, as we have, some of the news coming out of Delaware about certain rulings, the debate around those rulings, and the subsequent debate around actions taken by the legislature to clarify #Delaware #law. As we’ve read about these developments, we were intrigued and turned to the team at Wachtell, Lipton, Rosen & Katz (WLRK) for their thoughts on these matters. We were extremely pleased to have Ryan McLeod, Partner, and Dan Neff, Partner and Member of the Executive Committee, join us for a far-ranging and intriguing discussion on these issues.

Very kind of the folks at COBT to invite me to join them (and very kind of Dan to join so it would actually be interesting!)

Karessa Cain, Mark Veblen, Victor Goldfeld and John Sobolewski authored the Trends and Developments section in the 2024 edition of Chambers and Partners Global Private Equity Practice Guide. In their chapter, they note that private equity (PE) investors and dealmakers have faced headwinds since the COVID-era boom of 2021. These challenges include higher interest rates, persistent inflation, widely divergent valuation expectations, market and geopolitical upheavals, and heightened regulatory scrutiny. 2024 has so far presented a continuation of many of these challenges. They also highlight the following as notable evolving trends: • 𝗜𝗻𝗰𝗿𝗲𝗮𝘀𝗲𝗱 𝗙𝗼𝗰𝘂𝘀 𝗼𝗻 𝗘𝗦𝗚: Private equity firms are paying more attention to Environmental, Social, and Governance (ESG) criteria. • 𝗥𝗶𝘀𝗲 𝗼𝗳 𝗧𝗲𝗰𝗵𝗻𝗼𝗹𝗼𝗴𝘆 𝗮𝗻𝗱 𝗗𝗮𝘁𝗮: Private equity is increasingly targeting sectors related to tech innovation, digital transformation, and data analytics. • 𝗥𝗲𝗴𝘂𝗹𝗮𝘁𝗼𝗿𝘆 𝗦𝗰𝗿𝘂𝘁𝗶𝗻𝘆: There is heightened regulatory scrutiny around private equity deals. This includes more rigorous review processes and compliance requirements, especially concerning antitrust laws and foreign investments. • 𝗙𝗼𝗰𝘂𝘀 𝗼𝗻 𝗢𝗽𝗲𝗿𝗮𝘁𝗶𝗼𝗻𝗮𝗹 𝗜𝗺𝗽𝗿𝗼𝘃𝗲𝗺𝗲𝗻𝘁𝘀: Beyond financial engineering, private equity firms are placing a greater emphasis on operational improvements within portfolio companies.
