The Metro Detroit office of our client, a large law firm known for its entrepreneurial culture and robust M&A practice, is seeking a corporate associate. Position Overview:

We are seeking a skilled Corporate Associate with a minimum of two years of experience in mergers and acquisitions to join our client’s Metro Detroit office. The ideal candidate will contribute to the firm’s sophisticated M&A practice, working closely with partners and clients on complex transactions across various industries.

Responsibilities:

• Conduct due diligence reviews and analysis for M&A transactions.
• Draft and negotiate transactional documents including purchase agreements, disclosure schedules, and ancillary documents.
• Assist in structuring transactions and advising clients on corporate governance matters.
• Manage deal closings and post-closing matters, including integration efforts.

Requirements:

• Juris Doctor (J.D.) from an accredited law school and active membership in good standing with the State Bar of Michigan (or eligibility for admission by motion).
• Minimum of two years of experience practicing corporate law with a focus on mergers and acquisitions at a law firm.
• Excellent drafting, analytical, and communication skills.
• Proven ability to manage multiple complex transactions simultaneously with attention to detail.
• Entrepreneurial mindset with a demonstrated interest in business development.
