Corporate Paralegal - Carmel, IN (Hybrid)


Reporting to the Senior Legal Manager – Corporate and Securities, the Corporate Paralegal will provide corporate governance and legal entity management support for the Company’s 100 global subsidiaries and manage the legal invoice process for global legal matters. The Corporate Paralegal will also partner collaboratively with other functions, including corporate treasury, corporate and local tax, corporate and local finance. Requires the highest levels of professionalism, attention to detail, organizational skills, and use of judgment and discretion. The role is based in the Carmel, Indiana location.


What You Will Do:

  • Maintain the Company’s corporate structure chart; organize and maintain corporate minute books and the subsidiary management database for all global subsidiaries.
  • Manage subsidiary annual meeting process of all global subsidiaries, which includes drafting of board and shareholder resolutions to elect directors and officers, approve annual accounts, and coordinate signatures and filing.
  • Manage the preparation, processing and filing of regulatory state filings for all domestic subsidiaries.
  • Liaise with outside counsel and outside vendors to maintain and support compliance with local legal requirements as applicable, including, but not limited to UBO updates, notarizations, token certification requests, etc.
  • Support and coordinate the formation or integration of new entities across the globe.
  • Coordinate and prepare necessary documents for effective entity management, including governing documents, intercompany agreements, and banking resolutions.
  • Arrange internal director and officer signatures on various corporate filings and documents.
  • Respond to requests related to global subsidiary matters received from various departments within the Company.
  • Support significant corporate transactions, including tax and finance transactions, capital changes, dividend payments, restructurings, mergers, dissolutions, contributions, etc.
  • Prepare certified resolutions and documents, incumbency certificates and respond to AML/KYC requests for internal and external partners.


Legal Operations

  • Manage the vendor payment process using Legal Tracker for global legal matters.
  • Support accrual inquiries from the finance team and other departments within the Company.
  • Monitor and audit invoices to ensure timely processing and in accordance with Outside Counsel Billing Guidelines.
  • Support in managing legal budget and operations for the global Legal department.


What You Will Need To Succeed

  • Minimum of 3+ years of previous corporate legal experience in a law firm or corporate legal department, or comparable similar experience required.
  • Bachelor’s degree required or an Associate’s degree and a Paralegal certificate.
  • Experience in International subsidiary management preferred.
  • Legal operations experience a plus.
  • Proficiency with Microsoft Office Suite (including Word, Excel, and PowerPoint), Outlook365 (Teams), SharePoint and Adobe Acrobat.
  • Experience with Diligent Entities, GEMS or other similar software preferred.
  • Experience with Legal Tracker or similar e-billing software preferred.
  • Flexibility and willingness to optimally work across time zones.
  • Must have excellent attention to detail and be highly organized.
  • Resourceful self-starter with strong problem-solving and analytical skills.
  • Excellent written and verbal communication skills.
  • Ability to prioritize multiple time-sensitive tasks in a fast-paced setting.
  • Sound judgment and ability to take initiative.
  • Highest degree of professional discretion and confidentiality.
