Fully Remote – Corporate Paralegal

We are an established boutique firm in Denver, Colorado seeking a super resourceful and experienced corporate paralegal. Having focused on providing complex solutions to aviation and aerospace companies for 20+ years and being based within the nation’s second largest aviation and aerospace economy, we offer a dynamic atmosphere for growth in a team-oriented environment. This is a fully remote position allowing you to work from anywhere in the continental United States.


Corporate Responsibilities:

  • Prepare documents for various types of entities, including corporations, LLCs, and partnerships, including formation documents, amendments, foreign registrations, assumed business names, mergers, dissolutions, and governance documents (such as Bylaws and Operating Agreements).
  • Direct communication with clients to obtain necessary information related to the preparation of such corporation documentation.
  • Files formation documents for the creation of new entities in various states directly with respective Secretaries of State or similar agencies.
  • Understanding of the Corporate Transparency Act and the requirements for initial and amended BOI reporting as determined by FinCEN.
  • Maintenance and tracking of client related requests for BOI reporting assistance.
  • Prepares and files initial and amended BOI Reports with FinCEN.
  • Creates minutes, resolutions, and consents, maintains corporate minute books, and maintains and files corporate maintenance records.
  • Understanding and ability to research annual compliance filing requirements in various states.
  • Prepare and, timely and accurately, file such annual state filings and reports.
  • Maintenance of the firm’s internal entity database as well as the firm’s database with outside registered agent provider.
  • Ability to review, understand and summarize complex legal agreements.
  • Experience with legal research and fact finding.


M&A Related Responsibilities:

  • Provide transactional support to lawyers and Senior Paralegal with merger, acquisition, financing, and other deal closings.
  • Assist with legal project management as well as familiarity with the creation of closing checklists, preparation of document sets for distribution and post-closing preparation of closing binders and index.
  • Prepares UCC filings and performs UCC, lien and judgment search requests.
  • Will be trained on aviation related transactions, including aircraft purchases and sales, in order to provide transaction support to lawyers and Senior Paralegal in preparation of deal closings.
  • Desire to learn, understand and assist lawyers and Senior Paralegal with sales and use tax requirements in various jurisdictions.
  • Assist lawyers and Senior Paralegal in preparation of various other legal documents related aviation registration and certification matters.
  • Assists lawyers in the research of law, investigation of facts, and preparation of legal and non-legal documents and memoranda necessary to comply with federal, state, and local regulations in the conduct of corporate and aviation business activities.


Experience

  • Corporate Paralegal Experience: 10 years minimum (Required)
  • Entity Formation and Maintenance Experience: 10 years minimum (Required)
  • M&A Paralegal Experience: 5 years (Required)
  • with CTA/BOI Filings (Required)
  • Comfortable with billable hour expectations in a law firm environment (Required)
  • Interest in aviation industry preferred
  • Proficiency in Microsoft Office (Word, Outlook, Excel, PowerPoint), Adobe Acrobat Pro, Clio, SharePoint, DocuSign

Pay


  • $70,000-$100,000 per year, but may pay more commensurate with experience and billable hour requirements
