General Counsel
Partner One Capital is a prominent long-term investment group focusing on the acquisition and growth of successful enterprise software companies. We own and operate some of the fastest-growing enterprise software companies globally, with over 1500 of the world's largest corporations and governments relying on our software for critical operations and safeguarding valuable data.
Partner One Capital is seeking a highly skilled General Counsel to address the overall legal needs of the company, with a primary focus on reviewing and negotiating software licensing and purchasing agreements.
Key Responsibilities:
- Draft, review, and negotiate software licensing agreements, including term licenses, SaaS, subscriptions, and services.
- Draft and negotiate stock and asset purchase agreements for mergers and acquisitions.
- Review intellectual property protection and transfer agreements.
- Draft, review, and negotiate vendor, contractor, and employee agreements.
- Draft and review data privacy and compliance documentation.
- Ensure corporate compliance across various countries.
- Manage all legal documents, identify potential legal risks, analyze contractual and operational legal and compliance exposures, and create and execute plans to address and monitor them.
- Stay up-to-date on relevant IT, cybersecurity, and data protection laws and regulations.
- Collaborate closely with business teams on a broad range of legal matters, providing high-quality, pragmatic legal advice in support of the company’s business objectives.
- Draft, review, and negotiate a wide variety of agreements, including those involving customers, technology licenses, subscriptions, SaaS, NDAs, and vendor and partner relationships across the US, Canada, and Europe.
- Provide support to management and advise business units on contract interpretation, compliance, privacy, data security, IP licensing, and potential disputes.
- Continuously improve contract processes and implement best practices within the company.
- Periodically assess legal risk exposures and develop risk mitigation initiatives, including procedures, policies, and form development.
- Address potential disputes or claims and coordinate with outside counsel.
Requirements:
- 5+ years of experience in a legal role.
- Extensive experience in drafting, reviewing, and negotiating software license agreements and IP protection.
- Demonstrated ability to quickly digest complex information and make informed decisions.
- Strong analytical and problem-solving skills.
- Excellent written and verbal communication skills.
- Proven ability to successfully negotiate contracts.
