About the Role:

DigniFi is seeking a motivated and detail-oriented Junior Counsel to join our Legal and Compliance team. The ideal candidate will have experience in corporate board governance, contracts management, and state licensing administration. This role is pivotal in ensuring that our company adheres to legal standards and in supporting the seamless operation of our corporate governance and compliance functions.


What You Will Do:

  • Assist in the preparation and organization of board meetings, including drafting agendas, minutes, and resolutions.
  • Maintain corporate records and ensure compliance with statutory and regulatory requirements.
  • Support the development and implementation of governance policies and procedures.
  • Coordinate with board members and senior management to facilitate communication and governance-related activities.
  • Review, draft, and negotiate a variety of contracts, including NDAs, service agreements, and vendor contracts.
  • Monitor contract compliance and manage contract renewals, amendments, and terminations.
  • Maintain an organized system for contracts and related documentation.
  • Provide guidance and support to internal stakeholders on contractual matters.
  • Manage the application, renewal, and maintenance of state licenses for the company.
  • Ensure compliance with state regulations and reporting requirements.
  • Liaise with state regulatory agencies and respond to inquiries or issues related to licensing.
  • Keep abreast of changes in state licensing laws and regulations and advise on necessary actions.


Who You Are:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Experience practicing law, preferably with a focus on contract law, business law, litigation, and/or employment law.
  • 2-5 years of relevant experience in corporate governance, contracts management, and state licensing.
  • Strong understanding of corporate governance principles and best practices.
  • Proficiency in drafting and reviewing legal documents.
  • Excellent organizational skills and attention to detail.
  • Strong analytical and problem-solving abilities.
  • Effective communication and interpersonal skills.
  • Ability to manage multiple tasks and meet deadlines.
  • Proactive and self-motivated with a strong sense of ownership.
  • Ability to work independently and collaboratively in a team environment.
  • High level of integrity and professional ethics.

Where You Will Work:

This position is remote.


Salary:

The base salary range for this position is $100,000 - $140,000 a year. DigniFi salary ranges are determined by role, level, and location. The salary range displayed in each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Please note, the base pay offered may vary within the range depending on a wide array of factors including but not limited to work location, job-related knowledge/skills, relevant education/training, and level of experience. Please note that the compensation details listed in postings reflect the base salary only, and do not include bonuses or benefits.
