Job Summary:

Reporting to the Chief Legal Officer, the Manager, Board of Directors Liaison and Governance Support is responsible for supporting organizational governance and serving as a liaison to the FSMB Board of Directors. This role aims to further support the Board of Directors in their efforts to further strategic goals and organizational priorities.

Principle Responsibilities:

  • Maintain a comprehensive understanding of and ensure compliance with the organization’s mission, goals, business plans, bylaws, public and operational policies, and procedures.
  • Manage operational processes and ensure appropriate follow-up for meetings of the House of Delegates, Board of Directors, Executive Committee, and other committees.
  • Keep accurate and timely records of the official business of the House of Delegates, Board of Directors, Executive Committee, and other committees.
  • Assist the Chief Legal Officer with corporate governance and parliamentary procedure, including logistical support to the Bylaws and Rules Committee, drafting agendas, setting review timelines, distributing materials, and drafting initial minutes.
  • Develop and maintain a professional development program for the Board of Directors, including coordinating orientation for new board and committee members and facilitating programs for regular assessment of board effectiveness.
  • Provide direct support to Board of Directors members, acting as the primary contact for member requests and offering logistical support for their activities.
  • Work with Meetings and Travel staff on hotel needs, room reservations, meeting room needs, shuttle reservations, etc.
  • Maintain specific information in FSMB’s Customer Relations Management (CRM) system and assist in improving tracking of Board of Directors engagement and utilization of organizational data.
  • Maintain confidentiality of sensitive information
  • Some domestic travel may be required.
  • Perform other duties as assigned.


Desired Skills and Qualifications:

  • Bachelor’s degree
  • Five years of managerial and administrative experience
  • Strong strategic thinking and analytical skills
  • Excellent written and oral communication skills
  • Detail-oriented
  • Ability to act with the highest level of professionalism, confidentiality, and collegiality


Preferences:

  • Demonstrated understanding of organizational and/or committee governance, with the ability to interpret and advise on complex rules arising from policy and procedures
  • Relevant certification (e.g., Paralegal Certificate, Certified Association Executive, Certified Board Secretary, Professional Administrative Certification of Excellence, Advanced Certificate for the Executive Assistant)
