Position Overview

Our client, a leading law firm with a commitment to excellence and innovation, is seeking a midlevel corporate associate with emerging companies and venture capital experience. The ideal candidate will have experience in advising emerging companies and venture capital investors on a wide range of corporate and transactional matters, from formation to exit. This position will be based in our Century City office.

Key Responsibilities

• Advise emerging companies and venture capital investors on corporate and transactional matters from formation to exit.
• Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA (and related) financing documents.
• Provide legal guidance on corporate governance matters, including board and shareholder issues.
• Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to early-stage and late-stage private companies.
• Manage internal and external client and counsel relationships.
  
  

Job Requirements

• Juris Doctor (J.D.) from an accredited law school.
• Admission to the California Bar.
• 4-6 years of experience in a reputable law firm or in-house legal department.
• Strong background in corporate law, with specific experience in emerging companies and venture capital transactions.
• Excellent drafting and negotiation skills.
• Entrepreneurial and a team player.
• Ability to work independently and collaboratively in a fast-paced environment.
• Strong academic credentials.
  
  

Standard hours of work: Monday through Friday, 7:00AM–5:30PM. Some late nights and weekends may be required.

Must be able to lift and move up to 25 pounds at times.

Travel may be required up to 10% of the time.
