About This Role

This role is responsible for drafting and reviewing contracts, maintaining corporate records, supporting compliance efforts, and assisting with mergers and acquisitions. The role requires excellent organizational skills, attention to detail, and the ability to work both independently and collaboratively in a fast-paced environment. This role will contribute to the legal department's efficiency and effectiveness, ensuring adherence to legal and regulatory requirements.


Key Responsibilities and Accountabilities:

  • Assist in drafting, reviewing, and negotiating various types of contracts, including NDAs, vendor agreements, and service contracts.
  • Conduct legal research and provide analysis on various legal issues affecting the company.
  • Maintain and organize corporate records, including board minutes, resolutions, and corporate filings.
  • Support compliance efforts, ensuring adherence to regulatory requirements and internal policies.
  • Prepare and maintain documentation related to corporate governance and compliance.
  • Assist with mergers and acquisitions, including due diligence and integration activities.
  • Handle electronic administrative tasks such as file management, data entry, and maintaining the legal department’s calendar and files.
  • Monitor and track legislative and regulatory developments relevant to the company's business.


Essential Qualifications, Knowledge and Skills:

  • A minimum of 10 years of commercial contracting and corporate experience.
  • Bachelor’s degree or Paralegal Certificate from an ABA-accredited program preferred.
  • Working experience with electrical manufacturing clients who produce and service un-interruptible power supply products, power distribution units, power metering and monitoring, transformers and switches strongly preferred.
  • Strong, independent writing and oral communication skills, as well as superior analysis skills.
  • Excellent organizational skills, attention to detail, and the ability to work independently as well as collaboratively in a fast-paced environment.
  • Knowledge of industry regulations and best practices related to data security, privacy, and compliance.
  • Proficiency in legal research tools and databases.
  • Strong understanding of corporate law, contract management, and compliance.
  • Ability to manage multiple tasks and work under pressure to meet deadlines.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and legal case management software.
  • Strong ethical standards and professionalism.
  • Position will work under and the supervision of, and report to the General Counsel.


Working Conditions:

  • Position can be entirely remote or hybrid if within commuting distance to Boston or Toronto areas.
  • Must possess and maintain an unrestricted valid driver’s license.
  • Ability to travel to international destinations; must possess and maintain a valid passport for international travel.
  • Must be available for occasional business travel, including to international locations.
