Summary

AgReserves, Inc. is seeking an ethical and detail-oriented Vice President of Legal Compliance to join the Executive Leadership Team. The VP of Legal Compliance provides support to a wide range of legal and compliance matters and is instrumental in guiding the business operations, as well as, shaping the legal and regulatory structure of the organization.

Responsibilities

  • Strategic advisor to the business and its affiliates to ensure compliance with all applicable laws, rules and regulations including new and proposed legislation, changes in regulatory market dynamics and emerging legal issues.
  • Lead the compliance team ensuring effective legal operations and collaboration.
  • Oversee the preparation, negotiation, and review of a wide range of agreements, including complex matters relating to major purchase and sale agreements, real estate acquisitions, agricultural matters, solar leases, procurement, construction, leases, and general corporate affairs.
  • Confirm all contracts align with legal standards, mitigate risks, and protect organization interests.
  • Provide strategic consultation on matters related to farm and ranch operations, agricultural production, and leasing activities.
  • Stay informed on all federal and state administrative rules and regulations, ensuring compliance with domestic and international laws that affect the Company and its business operations, including those relevant to sales and marketing of farm and ranch products (e.g. EPA, FDA, USDA, and PACA regulations, and state corollaries).
  • Direct legal research, memoranda preparation, and reporting, and be able to distill complex legal concepts into actionable insights.
  • Manage litigation matters, including labor disputes, employment issues, and contract disagreements.
  • Collaborate with outside counsel to ensure effective representation and cost-efficient outcomes.
  • Ensure compliance with corporate governance principles and legal requirements and advise on governance matters.
  • Lead cross-functional teams and participate in special projects that drive organizational success.
  • Be a liaison with the Office of General Counsel of the Church Corporation (“OGC”) and meet regularly with and update the OGC attorneys regarding legal compliance issues of the organization.

Qualifications

  • 10+ years of law firm and/or legal experience including significant exposure to corporate law, contracts and regulatory compliance.
  • Previous managerial experience overseeing legal teams and functions.
  • Experience supporting agricultural operations preferred with general understanding of agricultural law matters, trends, and concepts.
  • Familiarity with corporate governance, business law, litigation, and litigation management.
  • J.D. from ABA-accredited law school with active license to practice law in any U.S. jurisdiction.
  • Strong demonstrated interpersonal, negotiation, and communication skills.
  • Proven leadership and strong relationship management skills.
  • High display of high moral character, honesty, and creativity.
  • Proficient in Microsoft products and legal research tools.
  • Must be able willing and able to work onsite at the Salt Lake City headquarters.
  • Able to travel to various office locations, domestic and international.
