SEBI: SEEKS TO REVISE FORMAT OF COMPLIANCE REPORTS TO BE FILED BY FOREIGN VC INVESTORS SEBI issues Consultation Paper on reporting by Foreign Venture Capital Investors (FVCI), invites public comments by August 29; States that there is need for revising the format for filing of quarterly compliance reports by FVCI, in line with the amendments to FVCI Regulations recently approved by SEBI Board, to be notified in due course; SEBI proposes that the quarterly report shall be submitted by FVCI online on the SEBI intermediary portal, within 15 days from the end of each quarter; According to the proposed revised format, FVCIs are to provide general information about them, including SEBI registration number, date of grant of such registration, date of incorporation, country of incorporation, category of FVCI, and principal place of business; Additionally, they are required to provide details of Directors, Cumulative details of the funds raised & invested by all schemes under the fund, Brief Investment details of the FVCI in India, as also their industry wise investment.

#SRP continued to review the performance of funds of structured products. In part 3 of our roundup, we reviewed how funds from Peru, Luxembourg, the UK, Ireland, and Canada performed during H1 2024. “The equity market was very strong in H1, but its return was heavily concentrated in large-cap and AI/semiconductor names, making it difficult for stock-picking strategies to outperform the market,” said Adrien Verhée, CFA, head portfolio manager at Zest Capital Peru, which manages Fondo Zest Estructurado Dr. Dmitry Reykhart, chairman of the board at Forte Pharma Fund, which invests in #structurednotes linked to underlyings from the global pharmaceutical and biotechnology sectors, added: “We expect even more favourable performance of the constituents of our portfolio in the second half of the year, based on specific company drivers as well as an overall change in sentiment towards the sector and ongoing rotation from Big Tech to value-based sectors.” Other funds reviewed include the Lowes Financial Management Defined Strategy Fund, Causeway Securities Defined Growth Fund, IDAD UK Refined Growth Fund, and Ninepoint Partners Target Income Fund. In order to streamline the transition to the amended Foreign Venture Capital Investors (“FVCIs”) regime, SEBI has issued new operational guidelines for FVCIs and Designated Depository Participants (“DDPs”). These guidelines are effective from January 1, 2025. Under the guidelines, SEBI has outlined procedures for FVCI registration, activities and compliance requirements and specified the role of DDPs. The guidelines include the appointment of a DDP by an FVCI to conduct due diligence concerning the continuance of registration as an FVCI. Failure to do so by March 31, 2025, shall result in the FVCI being disallowed from making any further investment. Further, in case of such failure, the FCVI shall mandatorily be required to liquidate assets in listed securities by March 31, 2026, and other investments by March 31, 2027.
