The march of syndicated issuers tapping the private credit market continues. Two new ones LevFin Insights covered today: Cerberus Capital Management-backed Electrical Components International and OMERS Private Equity-owned Premise Health. (Links below.) ECI is looking to refinance its syndicated market loans with a $1.13bn private credit deal, comprising a $930mn term loan, a $100mn revolver and a $100mn delayed draw term loan. Premise Health has refinanced its institutional debt with a $722mn unitranche, with a lender group that includes Golub Capital and Antares Capital LP. Just in: Antares Capital LP leads c.$1.5bn refinancing for Genstar Capital backed OEC Leading a group of private credit lenders, Antares is providing a refi package for the software development firm, which includes a $1.15bn unitranche, a $200m capex facility and a $125m revolver. The proceeds will be used to refinance the existing debt of c.$600m first lien and $365m second lien. Once again, we are seeing firms opting for private credit solutions to take out broadly syndicated debt, which is a reflection of the popularity and competitive edge of the private lenders. While public market conditions may be volatile on the back of economic indicators, central bank speeches, or even credit events in similar sector, private lenders could prove to be more stable in supporting immediate funding needs. Parts Town may reprice its private credit financing to a rate as low as S+475, potentially bringing down the interest rate materially. Its two existing debt facilities, a $1.6bn Golub Capital-led unitranche is priced at S+598, while a non-fungible $450mn incremental term loan is priced at S+650, according to regulatory filings from a Golub-managed BDC. Direct lenders are in a race to the bottom on pricing as competition ticks up with a resurgence of activity in the lev loan market. Ares Management Corp., AllianceBernstein, Golub Capital and Blue Owl are all linked to EQT's most recent financing package, now priced 1.25% lower than the last round of financing for the same company just 6 months ago. Additionally, direct lenders are increasingly going cov-lite due to pressure from the kingmakers of deal flow....PE sponsors. To top it all off, investors claiming well diversified private credit allocations are now finding different slices of the same deals across multiple direct lending strategies. 🔎The European corporate CLO market continues to show stability with five new issue deals priced and 11 refinancings/resets in September 2024. AAA spreads remained at 130 basis points with the exception of four resets. On the new issue side, Capital Four CLO VIII issued a AAA spread slightly lower at 129 basis points. Non-call periods for all new issue and reset deals in September remained between one and two years, while reinvestment periods remained between four and five years.
