Backcountry skiing and mergers and acquisitions? 🏔️💼 Whether it's choosing to walk away from a backcountry ski run, an epic ice climb, or a potential merger/acquisition, human factors are important to understand. Sitting in our management class with Harbir Singh, I could not stop thinking about the parallels about the method of thought in my outdoor activities and successful merger and acquisition groups. The acronym that comes to mind is FACETS. Here are quick explanations and what you should ask yourself when considering a transaction. Familiarity - you can get ahead of yourself thinking that you are an expert in an industry, but are you understanding the nuances of a target through due diligence? Acceptance - wanting to feel accepted into the portfolio, with a successful transaction. Is it just a feeling of acceptance for a successful transaction, or does this transaction truly fit into the portfolio? Consistency - best related to confirmation bias, all the time and money spent on due diligence starts to add up and force you towards wanting to make the decision to transact. However, what happens if you consider this all as sunk cost, and that the decision for a transaction is completely independent of the money that has already been spent? Expert Halo - with several people surrounding you with lots of experience in mergers and acquisitions, are you willing to go against their decision to transact when you find items that may say otherwise? Is there a psychologically safe environment where you can be perfectly candid with the other experts in the room? Tracks (Social Proof) - just like tracks on a ski hill, the path through a transaction could seem very similar to other transactions in the past. Instead of asking how your transaction is similar to others, make sure to ask "What is different and unique about this transaction?" Scarcity - with fewer transactions happening out there, are you transacting just for the sake of transacting as you're worried that other opportunities will not come? Celebrating a Successful M&A Spent the greater portion of last week supporting an M&A in Miami Beach. As most know, these things take considerable planning and frequently take a year or more to bring together. Even known entities must go through a discovery and due diligence phase before consummating the deal. Finally, bringing the parties together on signing day is a major effort. Two CEO’s must homogenize the road ahead financially and procedurally in addition to establishing the cultural roadmap for the new entity. The usual suspects appear and at times, key players in the development of the individual entities don’t get along, however, when the leather hits the pavement, they pull together to support the merger. After the signing, the events culminated in a glorious feast at Smith & Wollensky Restaurant Group, Inc. at South Pointe. By now, you’ve likely figured out this was a marriage celebrated in the form of a wedding for friend.
