The team had a great catch up to discuss this topic with all of the learning curves and discussion points to hand from the recent Asset Finance Connect Summer Conference. The main parts of this discussion took place in the main conference room however it was the equipment finance breakout session, where a number of lenders raised their hands and put their thoughts openly forward. Hearing the feedback, it was intriguing to discover that some do, some don’t, and others take a more measured stance. On August 28, the U.S. Securities and Exchange Commission (SEC) announced significant amendments to the reporting requirements for registered investment companies, aimed at increasing transparency and improving regulatory oversight. Key Updates: - Form N-PORT Reporting: Registered open-end funds, closed-end funds, and exchange-traded funds will now be required to file monthly reports on Form N-PORT within 30 days after the end of each month, rather than the current quarterly filing schedule. This change will provide the SEC and investors with more timely information on funds’ portfolio holdings. - Increased Transparency: The amendments will make funds’ monthly N-PORT reports available to the public 60 days after each month’s end, tripling the amount of data accessible to investors annually. - Liquidity Risk Management: The SEC also adopted amendments to Form N-CEN to require additional reporting on liquidity risk management practices by open-end funds. The Commission provided guidance to address common questions related to these programs. SEC Chair Gary Gensler emphasized that "reliable, accessible data benefits everyone," highlighting that these changes will enhance investor protection and the SEC's ability to monitor the asset management industry effectively. Compliance Timeline: - The amendments to Forms N-PORT and N-CEN will take effect on November 17, 2025. Fund groups with less than $1 billion in net assets have until May 18, 2026, to comply with the Form N-PORT amendments.
