What's with the Australian Construction Industry’s love of bespoke or amended forms of Contract with egregious risk allocation (often to the party not best placed to bear it)? I remember preparing a contract review for a client some time ago… It was an AS4901-1998 (amended). No exaggeration when I say that the only part of this AS4901-1998 shared with the original unamended version was the front page. The lawyers had really excelled themselves on this occasion. Anywhere there was any perceived risk to the Main Contractor, the lawyers amended it to ensure that the risk sat with the Subcontractor… no matter what. One example which sticks in my mind was the requirement that if a direction constitutes a variation but is not expressly identified as a variation, then it is up to the Subcontractor to notify the Main Contractor within 24 hours of receiving such direction. In the event that it is a variation, the Main Contractor had the right to retract the direction. However, if the Subcontractor does not comply with the notice period and/or simply gets on with the work, the Subcontractor is barred from making any Claim against the Main Contractor arising from said direction. In my opinion, this was an attempt to contract out of competence. The consequences (and risk) of issuing such directions should lie with the party issuing the direction.
