I just learned about the Corporate Transparency Act, which apparently went into effect on Jan 1 of this year. Apparently, all U.S. businesses must register with the State Department by the end of the year, or face a possible $10,000 fine. There is no fee but apparently it takes time and requires proof of citizenship. It's through the State Dept. web site so I'm assuming it has something to do with national security? Looking for experts who can explain what this is about, how it works, and which businesses must register.

DOJ is expected to identify data brokerage transactions and certain genomic-data transactions involving the transfer of data to such jurisdictions and persons as “Prohibited Transactions” due to their inherent sensitivity. Another subset of transactions involving vendor, employment, and investment agreements (“Restricted Transactions”) may be permitted subject to compliance with certain predefined security requirements (e.g., organizational cybersecurity posture requirements, physical and logical access controls, data masking and minimization, use of privacy-preserving technologies) to be established by the Cybersecurity and Infrastructure Security Agency within the U.S. Department of Homeland Security to mitigate national security concerns regarding data access by such countries or persons." #dataprotection #datatransfers

The future is looking bright in 2024, as I recently told James Mills at Law360 for this forward-looking article published today. Though the markets slowed considerably this past year, the economy is revving back up and I think we will likely avoid a recession. With inflation in better check and interest rates having peaked, I think businesses and private equity funds that were slow to invest last year are now seeing the right opportunity to deploy their cash. In addition, demand for litigation counsel is on fire these days in California, particularly with regard to securities class actions, SEC enforcement, cybersecurity and data breaches. The stakes will only get higher this year. Whistleblower complaints will also be on the rise. And, of course, there's no doubt AI and the related compliance, data security, employment and ethical concerns with the technology will continue to take centerstage.
