GEMFIELDS EVALUATES OPTIONS FOR NAIROTO GOLD PROSPECT IN MOZAMBIQUE

"Gold Fields Ltd. agreed to buy Canada’s Osisko Mining Inc. in a deal valued at C$2.16 billion ($1.6 billion) as soaring prices for the precious metal drive producers to seek expansion. The acquisition, which gives Gold Fields full control of a project in Canada, is the latest step by the South African miner to diversify away from the country where it made its name. Those efforts included a failed bid for Toronto-based Yamana Gold Inc. two years ago. The Johannesburg-listed company will use cash to purchase all outstanding shares in Osisko at a price of C$4.90 apiece, Gold Fields said in a statement Monday. That represents a 66.7% premium to Osisko’s closing price on Friday, according to Bloomberg’s calculations. We have signed a Port Access Agreement with TSXV-listed Maritime Resources Corp (TSXV: MAE) under which FireFly can export up to 1Mtpa of mineral concentrate. Our Managing Director Steve Parsons said: “This port access agreement is another pivotal step in our strategy to position Green Bay as a world-scale copper project in terms of both the resource and production outlook. “Having open access to such a big port just 6km away will be extremely cost-effective, low risk and appealing to potential offtake partners. “With the outstanding drilling results we are generating, the completely open nature of the mineralisation, the existing infrastructure and now port access on our doorstep, FireFly is perfectly positioned to capitalise on the bullish outlook for copper, especially projects in tier one locations. “We are also excited to become a significant shareholder in Maritime Resources Corp. who are actively exploring across 450km² of highly prospective land in the Baie Verte mining district. BHP, the world’s biggest miner, and Canada’s Lundin have agreed to acquire South American copper miner Filo in a $3bn deal, in the latest sign of consolidation in the global mining sector. BHP has been on the hunt for copper assets after it walked away from a £39bn offer for Anglo American in May. That takeover attempt was primarily driven by the Australian company’s desire to acquire the London-listed miner’s copper assets in South America as the metal’s price boomed. China’s Yintai Gold to acquire Osino Resources in N$5.3bn cash deal Chinese company Yintai Gold Co Ltd is set to acquire Osino Resources Corp. in a N$5.3billion cash deal. Yintai, which trades on the Shenzhen Stock Exchange, has a market cap of N$108 billion (US$5.6 billion). As part of the deal, Yintai Gold has offered an immediate cash infusion for Osino of N$193 million (US$10 million) for operations and working capital needs and the reimbursement in full of the termination fee paid to Dundee Precious Metals Inc.   The development comes in the wake of Dundee Precious Metals Inc. (DPM)'s December definitive agreement to acquire Osino Resources for N$4 billion. “While we were appreciative of the previous offer from DPM, the all-cash offer from Yintai represents a significant premium to the DPM offer price, thus is clearly a superior proposal, and is an excellent outcome for Osino’s shareholders. Yintai is experienced, well-financed, and has a highly credible track record of gold mining in China, with the technical skills and financial resources to progress the project through construction and into production. We look forward to working with Yintai to continue to fast-track the development of the project and close this transaction,” Osino President and CEO Heye Daun said. Yintai President Xingong Ou said the Osino Twin Hills mine project represents a unique opportunity for the company to add a high-quality gold development asset to its portfolio in a stable and mining-friendly jurisdiction. “The project provides the foundation for our future production profile with production targeted for 2026, as well as significant exploration upside.
