Breaking news from the FTC! As anticipated, the FTC issued its final Rule today banning most employee non-compete agreements. There is still a lot to process, but the initial takeaways from the final Rule are that (1) after the effective date (which will be 120 days after Federal Register publication), there will be a total ban on new non-compete agreements for all workers; (2) Most pre-existing worker non-compete agreements will be unenforceable; and (3) the only pre-existing non-competes that may remain enforceable will be those that are applicable to "senior executives" - defined as workers who earn more than $151,164 and are in a policy-making position. It will be interesting to see if this final Rule will ever take effect. Since the proposed Rule was first announced, the FTC has seen more than 26,000 public comments, and multiple legal challenges will surely be coming, most likely being challenges to the FTC's authority to issue such a dramatic change. This is a major step in the right direction, and hopefully it sticks. Reading the article, it is worth noting that the U.S. Chamber of Commerce is trying to block this ruling. Folks subjected to non-competes should make a note of this. For me, though, there is another aspect that should have some clarity: Non-disclosure agreements (NDA). Companies, including staffing companies and recruiters, are quick to require applicants and job seekers to sign NDA before proceeding further. However, those NDA often are blatantly one-sided, protecting only the hiring corporation. This is disingenuous and socially rude. Both parties should be protected equally. For example, I was fortunate enough to collaborate and co-invent with smart people to earn a US patent. I've also co-authored several books. That work is just as deserving of protection as anything a hiring manager or interviewer might communicate during an interview. The point: job seekers, even those looking for non-exec roles, have intellectual property and past work product that should be protected. Hiring companies seeking the best candidates should differentiate themselves by making mutual, bi-directional NDA a selling point to attract them. If you're looking for work, and some company is pressuring you to sign a NDA before proceeding, I recommend that you read it carefully and make a point to ensure it protects you, your property, and your past work and not just that of the corporation.
